*ST園城(600766.SH)：擬購買元集新材100.00%股權並募集配套資金 明起復牌
格隆匯7月1日丨*ST園城(600766.SH)公佈，公司擬通過支付現金及發行股份方式購買丁紅暉及其他五方股東(雷劍平、章海濤、黃穎、唐紅燕、範紅霞)持有的浙江元集新材料有限公司100%的股份並募集配套資金，具體為：
公司擬以發行股份及支付現金的方式購買丁紅暉、雷劍平、章海濤、黃穎、唐紅燕、範紅霞持有的元集新材共計100.00%股權。經雙方友好協商，本次發行股份購買資產的股份發行價格為人民幣3.46元/股，不低於定價基準日前20個交易日股票交易均價的90%。
園城黃金本次擬向公司控股股東、實際控制人徐誠東非公開發行股份募集配套資金。本次發行股份募集資金總額預計不超過本次交易中上市公司以發行股份方式購買資產的交易價格的100%，發行股份數量將不超過本次交易前上市公司總股本的30%。
本次配套融資發行股份的定價基準日為公司審議本次發行股份及支付現金購買資產並募集配套資金事項的董事會決議公吿日，即2021年7月2日，發行價格不低於定價基準日前20個交易日股票交易均價的80%，即3.08元/股。
本次交易募集配套資金擬用於支付本次交易現金對價、支付本次交易中介機構費用及相關税費，補充流動資金，本次交易發行股份募集配套資金中補充流動資金金額不超過本次交易作價的25%，或者不超過募集配套資金總額的50%。
交易完成後，元集新材將依託公司的平台優勢、資金優勢以及規範化管理運營經驗，進一步提升產能，拓展銷售渠道，鞏固核心競爭力，實現營業收入和利潤的穩定增長。
本次交易完成後，交易對方丁紅暉、章海濤預計持有公司股份比例將超過5%。根據《上海證券交易所股票上市規則》等相關規定，丁紅暉、章海濤為上市公司關聯方。同時本次交易擬向公司控股股東、實際控制人徐誠東發行股份募集配套資金。因此，本次交易構成關聯交易。
此外，根據相關規定，經公司向上海證券交易所申請，公司股票將於2021年7月2日(星期五)開市起復牌。
