衞星石化(002648.SZ)：募投項目結項並將結餘募集資金永久補充流動資金
格隆匯6月30日丨衞星石化(002648.SZ)公佈，公司於2021年6月29日召開第四屆第七次董事會、第四屆第七次監事會，審議通過了《關於募集資金投資項目結項並將結餘募集資金永久補充流動資金的議案》，同意公司將截至2021年6月16日的結餘募集資金(包含尚未支付的尾款或質保金以及結餘的累計利息)9435.79萬元永久補充流動資金(具體金額以資金轉出當日銀行結息餘額為準)。公司擬將上述事項提交公司股東大會審議。
公司實際募集資金淨額為296,800.87萬元，募集資金承諾投資總額為296,800.87萬元，其中“衞星能源年產45萬噸丙烯及30萬噸聚丙烯二期項目”承諾支出219,500.00萬元、“衞星石化年產12萬噸高吸水性樹脂(SAP)擴建項目”承諾支出36,300.87萬元、“補充流動資金”項目承諾支出41,000.00萬元。具體使用情況如下：
1．2017年7月至2019年3月
①按決議使用募集資金41,000萬元補流動資金，已於2017年11月份執行完畢。
②“衞星能源年產45萬噸丙烯及30萬噸聚丙烯二期項目”中年產30萬噸聚丙烯項目於2016年12月達到預定可使用狀態，年產45萬噸丙烯二期項目於2019年2月達到預定可使用狀態。“衞星石化年產12萬噸高吸水性樹脂(SAP)擴建項目”中涉及募集資金投入的二期工程於2017年12月達到預定可使用狀態。2019年，公司按規定的相關董事會、股東大會決議程序將截至2019年3月6日的節餘募集資金及利息永久補充流動資金，同時將待支付合同款等合計32,631.47萬元保留在募集資金賬户以備支付。
2．2019年3月至今
①公司第三屆董事會第二十九次會議審議通過了《關於公司使用部分閒置募集資金進行現金管理的議案》，同意公司及子公司使用閒置募集資金不超過人民幣20,000萬元（含本數）購買安全性高、流動性好的銀行、證券公司或信託公司等金融機構發行的低風險、保本型現金管理類產品，期限為自公司董事會審議通過之日起12個月。截至2021年6月16日，公司使用閒置募集資金進行現金管理餘額為0元。
②公司第三屆董事會第三十二次會議審議通過了《關於公司使用部分閒置募集資金暫時補充流動資金的議案》，同意公司使用不超過閒置募集資金人民幣10,000萬元暫時補充流動資金，使用期限自董事會審議批准之日起不超過12個月。在上述授權金額及期限內，公司實際用於補充流動資金的募集資金金額為10,000.00萬元。截至2021年6月16日，公司使用閒置募集資金暫時補充流動資金餘額為0元。
