鈞達股份(002865.SZ)：擬參與競買上饒捷泰新能源科技47.35%股權
格隆匯6月28日丨鈞達股份(002865.SZ)公佈，公司擬參與上饒市宏富光伏產業中心(有限合夥)(“宏富光伏”)在江西省產權交易所公開掛牌轉讓的上饒捷泰新能源科技有限公司(“標的公司”)47.35%股權，其掛牌轉讓底價約13.31億元。
根據宏富光伏在江西省產權交易所發佈的掛牌信息，標的公司主營業務為太陽能光伏電池的生產製造，光伏電池是太陽能光伏發電設備核心零件。2019、2020年光伏電池正由多晶電池向單晶電池轉換，標的公司基於行業發展現狀及未來發展需要，於2020年針對多晶電池生產線的資產計提了資產減值損失32372.54萬元。標的公司財務數據已體現上述減值損失的計提影響，扣除上述影響後，公司2020年度淨利潤為15220.59萬元。截至2020年12月31日，標的公司已停止多晶電池產品的生產，標的公司全部的多晶電池生產線資產已計提減值損失。
此次公司擬競買標的公司主要從事太陽能光伏電池片的生產製造，符合公司佈局光伏行業戰略方向和產業發展理念，屬於公司戰略推進的可選範圍和標的。
標的公司是國內最先進的太陽能光伏電池片生產商之一，擁有行業內一流的管理和研發團隊，在光伏行業從業十餘年，積累了相關領域豐富的研發、生產、管理和銷售經驗。標的公司目前年產能約8.2GW，產能規模在A股上市的獨立電池廠商中僅次於通威股份和愛旭股份。標的產品品質已得到市場廣泛認同，擁有穩定的優質客户羣體，2021年上半年標的公司年產5GW新一代大尺寸(指182或210mm)高效單晶電池片生產線投產，使得標的公司產能、產品品質及效率得到進一步明顯提升，為標的公司未來的幾年業績增長提供了保證，標的公司目前在行業內具有較強的競爭優勢。
若此次競買成功，公司可進一步實現業務多元化佈局，主營業務從汽車塑料內外飾件進一步向光伏電池片領域拓展，其所擁有產能在A股獨立光伏電池廠商中排名第三，競買成功有利於增強公司的可持續發展能力和抗風險能力，進而提升公司價值。
