東方精工(002611.SZ)：百勝動力擬引入揚州金木、杭州安豐盈科等4名投資者
格隆匯6月25日丨東方精工(002611.SZ)公佈，根據公司第三個五年戰略發展期(2018年~2022年)的發展規劃，基於子公司蘇州百勝動力機器股份有限公司(“百勝動力”)發展現狀和未來規劃，為進一步優化股東結構、推動完善公司治理，百勝動力擬引入揚州金木穩健價值一期股權投資合夥企業(有限合夥)、杭州安豐盈科創業投資合夥企業(有限合夥)、青島吾同天啟股權投資合夥企業(有限合夥)、劉力軍等四名投資者，東方精工擬向上述四名投資者合計轉讓公司直接持有的百勝動力股份2132.5萬股，佔百勝動力股份總數比例為25%，股權轉讓價款合計1億元人民幣。
子公司百勝動力是綜合實力領先的國產品牌舷外機供應商。作為控股股東，東方精工大力支持百勝動力做大做強，成為國內舷外機行業的龍頭企業。
公司希望通過此次引入專業投資人，為百勝動力的繼續壯大和長遠發展注入新的動力。在成為股東的專業投資機構幫助下，百勝動力的股東結構將得到優化，法人治理進一步完善，在經營管理、財務管理、內部控制、激勵機制等方面的專業性、規範性水平有望得以提升；百勝動力也能充分利用專業投資機構在投融資、資源整合等方面的能力、經驗和資源，豐富融資手段、提升資本運作的靈活性，持續引進優秀人才、提升綜合經營管理水平，進而實現高質量發展，更好地服務於“十四五”期間國家高端裝備國產化和自主可控、安全高效的目標。
通過此次交易，東方精工能夠收回部分投資，自身資金實力得以提升；合理分散投資風險，提升集團整體經營發展的穩健性；專業投資人的引入，不僅有利於集聚推動百勝動力發展壯大的資源力量，推動階段性發展目標的達成，還能夠為百勝動力長期穩健可持續發展打好基礎，最終有利於東方精工整體發展戰略目標的實現，符合公司和全體股東的利益。
此次股權轉讓將增加公司淨資產，對公司合併報表當期損益沒有影響。此次股權轉讓實施完成後，公司持有百勝動力的股權比例將由95.12%變為70.12%，東方精工仍為百勝動力的控股股東。此次股權轉讓將不會導致公司合併報表範圍的變更。
