晨鳴紙業(000488.SZ)：擬引進建信投資和西證創新對壽光美倫進行增資
格隆匯6月25日丨晨鳴紙業(000488.SZ)公佈，為積極穩妥地降低公司資產負債率，優化資本結構，增強公司整體資本實力和競爭力，公司擬引進建信金融資產投資有限公司(代表建信投資-山東發展債轉股投資計劃)和西證創新投資有限公司(“西證創新”)對壽光美倫紙業有限責任公司(“壽光美倫”)進行增資，其中建信金融資產投資有限公司(代表建信投資-山東發展債轉股投資計劃)擬增資金額為人民幣14億元、西證創新擬增資金額為人民幣2億元。
基於壽光美倫經營狀況及公司整體戰略發展的考慮，公司及股東濰坊晨融新舊動能轉換股權投資基金合夥企業(有限合夥)、東興證券投資有限公司、濰坊晨創股權投資基金合夥企業(有限合夥)放棄此次增資中的優先認繳出資權。
其中：公司與晨鳴(青島)資產管理有限公司(“晨鳴資管”)、國都創業投資有限責任公司(“國都創投”)共同合作設立濰坊晨都股權投資合夥企業(有限合夥)(“晨都股權投資”)。全體合夥人認繳出資總額為人民幣3.2億元，均以貨幣方式出資。國都創投作為普通合夥人出資人民幣6400萬元，佔比20%；晨鳴資管作為普通合夥人出資人民幣100萬元，佔比0.31%；公司作為有限合夥人出資人民幣2.55億元，佔比79.69%。
建信金融資產投資有限公司(“建信投資”)、晨都股權投資與濰坊晨鳴新舊動能轉換股權投資基金合夥企業(有限合夥)(“晨鳴新舊動能轉換基金”)合作發起設立建信投資-山東發展債轉股投資計劃(“建信山東債轉股計劃”)。建信山東債轉股計劃規模為人民幣14億元，其中：建信投資作為管理人擬出資人民幣7億元，佔比50%，晨都股權投資擬出資人民幣3.1億元，佔比22.14%，晨鳴新舊動能轉換基金擬出資人民幣3.9億元，佔比27.86%。
公司引進建信投資和西證創新對壽光美倫進行增資，有助於降低公司資產負債率，優化資本結構，助力公司製漿造紙主業發展，增強公司整體資本實力和核心競爭力，進一步提升公司盈利能力。同時，此次增資完成後，壽光美倫仍為公司的控股子公司。此次交易不會導致公司失去對壽光美倫的控制權，對公司財務狀況及經營成果無重大影響。
