格隆匯6月23日丨和勝股份(002824.SZ)發佈2021年股票期權與限制性股票激勵計劃(草案)，擬向激勵對象授予權益總數為459.75萬份，涉及的標的股票種類為A股普通股，約佔草案公吿時公司股本總額的2.51%。其中首次授予367.80萬份，約佔草案公吿時公司股本總額的2.00%，約佔擬授予權益總數的80%；預留授予91.95萬份，約佔草案公吿時公司股本總額的0.5%，約佔擬授予權益總數的20%。預留部分未超過此次擬授予權益總額的20%。授予情況具體如下：
股票期權激勵計劃：公司擬向激勵對象授予308.0325萬份股票期權，涉及的標的股票種類為A股普通股，約佔草案公吿時公司股本總額的1.68%。其中首次授予246.426萬份股票期權，約佔草案公吿時公司股本總額的1.34%，約佔擬授予股票期權總數的80%；預留授予61.6065萬份股票期權，約佔草案公吿時公司股本總額的0.34%，約佔擬授予股票期權總數的20%。激勵對象獲授的每份股票期權在滿足行權條件的情況下，擁有在有效期內以行權價格購買1股公司股票的權利。
限制性股票激勵計劃：公司擬向激勵對象授予151.7175萬股限制性股票，涉及的標的股票種類為A股普通股，約佔草案公吿時公司股本總額的0.83%。其中首次授予121.374萬股限制性股票，約佔草案公吿時公司股本總額的0.66%，約佔擬授予限制性股票總數的80%；預留授予30.3435萬股限制性股票，約佔草案公吿時公司股本總額的0.17%，約佔擬授予限制性股票總數的20%。
該激勵計劃首次授予的股票期權的行權價格為34.68元/份，首次授予的限制性股票的授予價格為20.81元/股。
該激勵計劃擬首次授予的激勵對象總人數為199人，包括公司公吿該激勵計劃時在公司(含分公司及控股子公司，下同)任職的中層管理人員及核心技術(業務)骨幹人員。預留激勵對象指本激勵計劃獲得股東大會批准時尚未確定但在本激勵計劃存續期間納入激勵計劃的激勵對象，由本激勵計劃經股東大會審議通過後12個月內確定。
