華能國際電力(00902.HK)增資拿下清能院30%股權
格隆匯6月22日丨華能國際電力(00902.HK)公佈，公司於2021年6月22日與華能集團、西安熱工院、新能源公司、北方公司、蒙東公司及清能院簽署了增資協議。根據增資協議的條款和條件，公司將以人民幣38,961.69萬元認購清能院的部分新增註冊資本。於次增資完成後，公司成為清能院股東，持有清能院30%股份。
截至公吿發布之日，華能集團直接持有華能開發75%的權益，間接持有華能開發25%的權益，而華能開發持有公司32.28%的權益，為公司的直接控股股東。華能集團亦直接持有公司9.91%的權益，並通過其全資子公司華能香港間接持有公司3.01%的權益，通過其間接持有的華能財資間接持有公司0.84%的權益，通過其控股子公司華能財務間接持有公司0.39%的權益。
據悉，清能院成立於2010年4月。目前清能院的股權比例為：華能集團持股40%，西安熱工院持股30%、新能源公司持股30%。清能院是華能集團新能源領域專門科技研發、技術服務、實驗交流平台、成果轉化平台，致力於智慧能源、清潔能源技術研究，擁有新能源全生命週期解決方案。在二氧化碳捕集利用和封存、污染物一體化脱除、煤氣化等方面技術居世界或國內領先水平；在智能微網、智慧供熱、綠色用能、調峯調頻、系統優化、儲能等方面有比較深厚的技術積累；在能源大數據分析利用、鈣鈦礦等發電新材料、氫能、生物質能和地熱能等領域擁有前沿性研究與工程驗證，契合能源發展趨勢和公司轉型發展方向。
"十四五"期間，在綠色轉型發展的背景下，此次交易是公司加快新能源跨越式發展、加大科技創新引領高質量發展的具體實踐。此次交易完成後，公司可藉助清能院的科技研發優勢，提升在煤炭清潔高效開發利用和新能源等關鍵核心技術的研發應用能力，有利於推進公司能源結構優化升級、提升公司的核心競爭力。
