奧園美谷(000615.SZ)：擬掛牌轉讓京漢置業等3家公司股權 收縮房地產業務
格隆匯6月22日丨奧園美谷(000615.SZ)公佈，公司擬通過在北京產權交易所公開掛牌的方式，轉讓公司所持有的京漢置業100%股權、北京養嘉100%股權和蓬萊養老35%股權。此次重大資產出售最終交易對方的確認以北京產權交易所公開掛牌結果為準，故此次重大資產出售之交易對方尚不確定，待交易對方最終確認後，公司將按照相關規定要求其出具書面承諾和聲明，並在重大資產重組報吿書中予以披露。
此次交易標的的掛牌價格以具有證券期貨從業資格的評估機構出具的評估結果為基礎，上市公司在參考相關評估結果並扣減相應分紅金額後，擬以10.2億元作為此次交易標的在北京產權交易所公開掛牌轉讓的掛牌底價，最終交易價格將根據公開掛牌結果確定。
此次交易前，公司主要從事以健康住宅開發為主的房地產業務、以新材料研發與製造為主的化纖新材料業務以及醫美相關業務。
其中，公司房地產業務主要通過此次交易標的京漢置業等子公司實施，並通過此次交易標的北京養嘉和蓬萊養老等子公司對健康養老業務進行戰略性佈局。以健康住宅開發為主的房地產業務是目前公司收入的主要來源。公司主要以京津冀為中心，逐步向西南、長三角、珠三角等全國範圍擴展，形成了包括普通住宅、商業綜合體、空港物流城、酒店等多產品覆蓋、多領域經營、多產業發展的綜合性業務鏈條。
2020年6月以來，在奧園科星成為公司控股股東後，結合經營發展狀況，公司的業務佈局逐步進行調整，制定了以“綠色纖維新材料為基礎，上下游聯動，打造美麗健康”的戰略方向，向高端紡織品、醫美、健衞等應用領域進行拓展。2021年以來，隨着公司完成對浙江連天美企業管理有限公司55%股權的收購、依次與廣州暨南大學醫藥生物技術研究開發中心及相關方、大連肌源醫藥科技有限公司、西部優勢資本投資有限公司、KD Medical,co.,ltd.等在高端醫美護膚產品、輕醫美類產品等方面簽署戰略合作協議，公司正式切入醫美賽道。
通過此次交易，公司將收縮房地產業務，優化資產結構，聚焦於以醫療美容為主業的業務佈局，進一步發展為美麗健康產業的材料商、服務商和科技商，增強公司核心競爭力。此次交易完成後，上市公司將集中資源，努力提升公司的可持續經營能力和盈利能力，提升上市公司價值，維護中小股東利益。
