藥明康德(02359.HK)擬出資6000萬美元認購基金份額 以間接進軍東南亞市場
格隆匯6月21日丨藥明康德(02359.HK)公吿，2021年6月19日，公司全資子企業WuXi AppTec (Hong Kong) HoldingLimited簽署Subscription Agreement，擬出資6000萬美元認購SEA Healthcare Fund VCC 60,000股參與股份，並出資1美元認購投資基金1股B類業績股份，合計約佔已募集投資基金認繳出資金額的98.7638%。
公司全資子公司WuXi PharmaTech Investments Management (Cayman) Inc.同時間接持有SEA HC GP PTE.LTD. 50%的股權。SEA GP持有SEA Fund的所有管理股份。截至本公吿日，WuXi Hong Kong尚未支付投資款，後續WuXi Hong Kong將以自有資金履行投資款的支付義務。
同日，公司全資子公司上海藥明康德新藥開發有限公司與UOB Venture Management Private Limited、SEA GP和投資基金簽署Management and Advisory Services Agreement，約定由UOB VM作為投資顧問和管理人，由上海藥明康德作為行業顧問，為投資基金運行提供相關投資及行業諮詢服務。服務協議持續有效，直至投資基金完全解散或發生服務協議約定的可終止的情形。
據悉，該投資基金目標募集總額為1.5億美元，投資基金將結合UOB VM在投資管理、風險控制、區域市場和資源協同等方面的優勢，以及上海藥明康德在新藥研發技術和賦能型平台等方面的優勢，專注於投資位於東南亞或目標市場定位於東南亞的醫療健康領域的企業。
公司參與投資設立SEA Fund，是公司進軍東南亞市場，搭建公司在東南亞生物醫藥生態圈的重要舉措。除有望實現資本增值收益外，公司還可以充分利用投資顧問和管理人UOB VM的資源網絡以及專業的風險控制能力，結合公司的一體化開放式能力與技術平台優勢，在發掘投資機會的同時，與東南亞醫療健康企業展開廣泛合作，使公司充分分享東南亞醫療健康行業快速增長帶來的紅利。
