僑雄國際(00381.HK)：董事會認為金志股權轉讓協議書屬無效或已取消
格隆匯6月21日丨僑雄國際(00381.HK)公佈，公司於2019年2月14日，與轉讓方李碧清簽署了金志股權轉讓協議書，轉讓方擬通過股權轉讓的方式，將持有的目標公司20%股權轉讓給公司，公司同意接受轉讓。
根據股權轉讓協議書條款所述，轉讓方於協議生效後3日內，應當完成目標公司20%股權轉讓及移交各項文件資料等事項。而公司則需在目標公司20%股權變更過户手續之日起7日內開出價值合共港幣1,400萬元的承兑票據以之作為對價支付給轉讓方。
轉讓方代表於2019年2月14日向公司董事會聲稱已將目標公司20%股權變更過户文件交給有關部門辨理手續，並要求公司於同日向轉讓方開出有關之價值合共港幣1,400萬元的承兑票據。公司董事信任轉讓方代表之説法，並於2019年2月14日向轉讓方開出該等票據，而當中已列明，該等票據受制於股權轉讓協議書的條件及條款都已完成後才能正式生效。
截止公佈的日期，轉讓方都未能達成股權轉讓協議書中的所有先決條件，包括轉讓方從未將目標公司20%股權轉讓給公司。所以有關的目標公司20%股權轉讓未能完成。在過去的時間裏，公司董事都有和轉讓方或其代表保持溝通及聯絡，希望儘早完成有關交易。但經過兩年多的時間，董事會認為轉讓方無法完成有關交易，並認為該股權轉讓協議書屬無效或已取消。股權轉讓協議書的條件及條款都已完成與否是該等票據生效之先決條件，因此該等票據從未生效。
公司已委託律師，向轉讓方要求交回該等票據作取消之用。公司已尋求法律意見並將就該股權轉讓協議書項下申索展開法律程序。
公司於2019年2月28日，與景德鎮景東陶瓷集團有限公司("賣方")簽署了陶瓷購買協議，賣方會向公司出售10件陶瓷。
根據購買協議條款所述，公司已向賣方開出價值合共港幣1,700萬元的承兑票據以之作為代價支付給賣方。購買協議的條件及條款都已完成與否是陶瓷票據生效之先決條件，而由於購買協議未獲全面履行，因此陶瓷票據從未生效。
公司與賣方已達成協議，因為該等陶瓷的評估價格從來未滿足董事會的相關要求，因此先決條件從未完成，雙方同意另行協商購買協議的代價。而且賣方經書面向公司確認，陶瓷票據屬無效並會盡快向公司歸還陶瓷票據作取消之用。換言之，購買協議現已終止或取消。
