天順風能(002531.SZ)：未按規定披露相關承諾事項及進展情況 收到警示函
格隆匯6月18日丨天順風能(002531.SZ)公佈，公司於近日收到江蘇證監局下發的《關於對天順風能(蘇州)股份有限公司、嚴俊旭、吳淑紅採取出具警示函措施的決定》([2021]59號)。《行政監管措施決定書》內容如下：
“天順風能(蘇州)股份有限公司、嚴俊旭、吳淑紅：
你公司全資子公司蘇州天順新能源科技有限公司(以下簡稱天順新能源)2016年以增資形式認購珠海南方廣立風電設備有限公司(已更名為天順(珠海)新能源有限公司，以下簡稱天順珠海)45.939%股權。天順珠海原股東珠海廣投新能源合夥企業(有限合夥)、南通實業有限公司承諾天順珠海2016年、2017年、2018年經審計的淨利潤不低於2000萬元、2500萬元、3000萬元，並承諾業績未達標的補償安排。
經查，承諾主體2016年、2017年兩次變更業績承諾，僅提交董事會審議，均未提交股東大會審議，且你公司未按規定在2016年至2019年年度報吿中披露上述承諾事項及進展情況，違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條、《公開發行證券的公司信息披露內容與格式準則第2號-年度報吿的內容與格式》(2016年修訂、2017年修訂)第三十條、《上市公司監管指引第4號——上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》(證監會公吿[2013]55號)第五條第二款、第八條第二款的規定。
嚴俊旭作為天順風能(蘇州)股份有限公司董事長、總經理，吳淑紅作為時任董事會祕書，未按照《上市公司信息披露管理辦法》第三條的規定履行勤勉盡責義務，對公司上述相關違規行為負有主要責任。
根據《上市公司信息披露管理辦法》第五十九條的規定，我局決定對你們採取出具警示函的監管措施，並記入證券期貨市場誠信檔案，你們應當認真學習有關法律法規，提高規範運作水平，監督承諾相關方履行承諾。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
