中國通信服務(00552.HK)子公司擬引入中遠海運集團等多家戰投 將合共注資達9億元
格隆匯6月18日丨中國通信服務(00552.HK)發佈公吿，2021年6月18日，公司、供應鏈公司(公司的全資子公司)、天津中遠海運、智鏈深國際、雙百基金和東證蘇城訂立增資協議，據此，戰略投資者將向供應鏈公司合共注資人民幣9億元，其中人民幣3.266億元計入註冊資本，人民幣5.734億元計入資本公積。
供應鏈公司於2015年成立，是國內通信行業唯一的“5A級”綜合型物流企業，具備招標代理、物流、檢測、維修等多項行業頂級資質。供應鏈公司以電信運營商、設備製造商為重點客户，主要從事ICT產業智慧供應鏈集成服務。主營業務分為倉儲配送等基礎物流服務，招標、檢測、維修、拍賣等增值物流服務，商品分銷和供應鏈集成服務。供應鏈公司擁有覆蓋全國的倉儲配送網絡體系，在全國運營各類倉庫共約150萬平方米。
天津中遠海運為中遠海運集團的全資子公司，在合同物流、綜合貨運、航運服務、船舶管理、船舶物資供應、船舶技術服務等海事服務產業等方面有較強的實力和完整的產業鏈佈局，並着力發展新能源、物聯網等新興產業；智鏈深國際是深圳國際的全資附屬公司，是深圳國際旗下100%持有的智慧物流投資持股平台；雙百基金是由國改雙百發展基金管理有限公司作為基金管理人和執行事務合夥人的股權投資基金；及東證蘇城是由東證資本作為基金管理人發起設立的有限合夥型私募股權投資基金，是為投資供應鏈公司而成立的專項基金。東證資本為東方證券的全資子公司。
增資完成後，供應鏈公司的註冊資本將由人民幣9.287億元增加至人民幣12.553億元，戰略投資者將合共持有供應鏈公司擴大股本後約26.015%股權，公司於供應鏈公司中的股權比例將從100%攤薄至73.985%，供應鏈公司仍為公司的子公司。
公吿表示，供應鏈公司引入戰略投資者能夠促進供應鏈公司的股東結構多元化和進一步完善法人治理結構和市場化運營機制，提升運營效率。此外，供應鏈公司是集團供應鏈業務的龍頭企業，推進供應鏈公司引入具有協同效應的戰略投資者，將其打造成國內ICT產業智慧供應鏈集成服務領先企業，有助於提升公司供應鏈業務專業化運營能力和競爭力，並且有助於打造公司數字基建總承包能力。以上將有助於完善公司“新一代綜合智慧服務商”戰略佈局，豐富公司產業鏈、生態鏈組成，助力公司搶抓現代供應鏈產業和數字經濟發展機遇，實現企業高質量發展。
