ST光一(300356.SZ)：因資金佔用問題仍未全部解決 龍昌明主動辭去董事、董事長等職務
格隆匯6月17日丨ST光一(300356.SZ)公佈，公司董事會於近日收到公司董事、董事長龍昌明的書面辭職申請。龍昌明因佔用上市公司資金未及時清償，截至報吿披露日，已歸還佔用上市公司金額共計4100萬元，對公司佔用資金餘額為20827萬元，目前，其資金佔用問題仍未全部解決。鑑於上述原因，龍昌明主動申請辭去公司第四屆董事會董事、董事長、董事會各專門委員會委員及其他相應職務，上述職務原定任期至第四屆董事會屆滿即2022年3月26日止。辭職後仍在公司任職，繼續為公司開拓新業務做好規劃工作。
根據《公司法》、《深圳證券交易所創業板上市公司規範運作指引》及《公司章程》的有關規定，龍昌明的辭職報吿自送達董事會時生效。
公司將按照《公司章程》及相關規定，儘快完成新任董事、董事長的選舉工作。在選舉工作完成之前，經三分之二以上董事推選公司董事、董事會祕書戴曉東代為履行董事長職務。期限自本次董事會決議日起至新任董事長選舉日止。
為保證董事會工作的正常運作，經公司第四屆董事會提名薪酬與考核委員會審查，同時經第四屆董事會第十七次會議審議通過，同意提名許晶先生、徐純彬、沙敏為公司非獨立董事候選人。其中，董事候選人許晶由公司三分之二董事推薦，董事候選人徐純彬、沙敏由公司控股股東推薦。
董事候選人許晶為公司現任總裁，對公司情況瞭解，且有在國網體系長期工作的經歷，對於穩定公司現有業務，協調董事會和經營層的工作，有着積極的作用；董事候選人徐純彬有多年金融方面的從業經驗，對於現階段幫助上市公司控制金融風險，支撐公司業務發展以及未來提升上市公司有着重要作用。另外徐純彬出任董事局主席的克莉絲汀國際控股有限公司及曾任的南大蘇富特均為朱永寧實際控制的企業，朱永寧與龍昌明在財務資助方面存在關聯關係，控股股東歸還上市公司佔款4000萬元來源於朱永寧控制的企業，該借款由控股股東獨立償還，不存在上市公司為控股股東為上述借款提供擔保、承擔差額補足義務或其他特別安排的情形；董事候選人沙敏目前任職為三寶科技董事長，其與龍昌明為東南大學大學同系及清華五道口金融EMBA同學，其專業背景、從業經歷、所處行業與公司相近，特別在物聯網和智慧業務領域與公司具有廣泛的社會資源和產業協同資源，對於公司重新規劃產業佈局，扭轉近年來的業務頹勢、擴大業務領域有着積極和重要的幫助。
