傳智教育(003032.SZ)：收到深交所關注函 要求説明公司鴻蒙系統相關課程的經營情況等
格隆匯6月17日丨傳智教育(003032.SZ)公佈，公司於2021年6月17日收到深圳證券交易所上市公司管理二部下發的《關於對江蘇傳智播客教育科技股份有限公司的關注函》(公司部關注函〔2021〕第242號)，具體如下：
“江蘇傳智播客教育科技股份有限公司董事會：
你公司股票價格自2021年6月7日以來連續多日大幅上漲，分別於6月8日、6月11日、6月17日達到股票交易異常波動標準。你公司在6月15日披露的《股票交易異常波動公吿》中稱與鴻蒙系統相關的課程研發及講授尚處於初期階段，尚未形成收入。我部對相關事項高度關注，請你公司核查並説明以下事項：
1、請説明截止目前你公司鴻蒙系統相關課程的經營情況，包括但不限於鴻蒙相關課程的具體形式、是否收費、相關課程內容及相較你公司現有課程是否存在重大差異、是否存在其他課程提供方、你公司提供鴻蒙課程是否存在穩定或獨家的協議或授權等，並説明相關課程未形成收入的原因以及相關課程的經營對你公司近期業績是否存在影響等，並結合近期股價漲幅情況充分提示風險。
2、請説明除問題1涉及的課程培訓外，你公司目前是否存在同鴻蒙系統相關的其他業務，如不存在，請據實説明並充分揭示風險。
3、請説明近期公共媒體是否報道了對你公司股票交易價格產生重大影響的相關信息，如有，請説明相關報道是否符合你公司生產經營的基本情況，是否存在未公開的重大信息。
4、請根據本所《上市公司規範運作指引》的相關規定，詳細説明近期接待機構和個人投資者調研的情況，是否存在違反公平披露原則的事項。
5、請核查並説明你公司董事、監事、高級管理人員及其直系親屬是否存在買賣你公司股票的行為，是否存在涉嫌內幕交易的情形。
6、你公司認為其他需要説明的事項。
請你公司於2021年6月22日前將上述核實情況書面回覆我部並對外披露，並同時提交控股股東的書面説明等附件。
同時，提醒你公司及全體董事、監事、高級管理人員嚴格遵守《證券法》《公司法》等法律法規，以及本所《股票上市規則》的規定，真實、準確、完整、及時、公平地履行信息披露義務。”
