建發國際集團(01908.HK)全資附屬益悦獲授出50億元貸款額度

格隆匯6月16日丨建發國際集團(01908.HK)宣佈,於2021年6月16日,公司、公司的間接全資附屬公司廈門益悦置業有限公司("益悦")及控股股東建發房地產集團有限公司("建發房產")訂立可續期借款合同。根據可續期借款合同,建發房產同意向益悦授出本金額為人民幣50億元的貸款額度。建發房產將透過抵銷建發房產向公司提供的等額股東貸款履行其提供該貸款的責任。該貸款的初始年利率為中國人民銀行所頒佈的五年期以上貸款市場報價利率("LPR")x(1+增值税率)。若未來增值税税收政策允許利息支出抵扣進項税,則該貸款的年利率將調整為五年期以上LPR。每屆滿六個月該貸款的利率將根據中國人民銀行上一個月發佈的最新五年期以上LPR進行調整。

根據可續期借款合同,該貸款的初始期限自2021年6月30日起計為10年,以後每五年為一個延期期限,即於可續期借款合同日期起計滿10年當日,益悦可選擇償還本金及利息或將全部或部分還款再延期五年。在後者情況下,益悦仍可選擇將全部或部分還款延期五年,直至益悦償還全部未償還本金及利息為止。益悦每次選擇延期償還全部或部分還款時,該貸款的年利率將增加3%,直至其達到10%。益悦有權於2021年6月30日起計滿三年當日或三年後每年12月20日後的下一工作日提前贖回全部或部分未償還本金並結算對應利息。該貸款的利息應根據有關適用規定於計算所得税前扣除。

公吿稱,集團主要於中國從事房地產開發、房地產產業鏈投資服務及新興產業投資業務。該貸款將用於益悦的業務發展,包括但不限於發展新項目、支付營運開支等。
