興合控股(01891.HK)：原吿現宣稱買賣協議上的簽名乃是聲稱物業所謂賣家的騙子偽造
格隆匯6月16日丨興合控股(01891.HK)公佈，於2021年4月6日，集團的全資附屬公司Heng Hup Metal Sdn Bhd("第一被吿人")與Selangor Land and Mines Office (Pejabat Tanah dan Galian NegeriSelangor)("第二被吿人")於一宗訴訟中被列為共同被吿人，該訴訟由原吿LimChee Keong及Lim Chi Yin兩名人士("原吿")共同向馬來西亞高等法院("法院")提起，內容有關GRN58767, Lot 72101及GRN 58768, Lot 72102項下所持2幅具永久業權的空置土地(均位於Mukim Klang, District of Klang, State of Selangor,Malaysia)("物業")的交易。
謹此提述公司日期為2020年12月3日的公吿，內容有關第一被吿人(作為買家)訂立買賣協議向原吿(作為賣家)收購物業。於簽訂買賣協議後，第一被吿人已(a)向原吿的法律代表(作為利益相關者)支付所有必要保證金910,000馬幣(相當於約1,716,981港元)；及(b)於買賣協議完成前，就物業提交私人吿誡，以確保其權利("私人吿誡")。
原吿現宣稱買賣協議上的簽名乃是聲稱物業所謂賣家的騙子偽造，現向法院尋求以下命令：
a) 第一被吿人立即就原吿因錄入私人吿誡而遭受的損失向原吿作出賠償，有關賠償於經該法院評估並裁定後作出；
b) 第二被吿人根據《一九六五年馬來西亞國家土地法典》(Malaysian NationalLand Code 1965)第320 (1)(a)條規定的理由解除私人吿誡並提交註冊處吿誡，直至原吿根據《一九六五年馬來西亞國家土地法典》第321(b)條申請解除註冊處吿誡時為止；及
c) 該訴訟的費用由第一被吿人或第二被吿人或兩者共同按完全彌償基準承擔。董事會認為第一被吿人已真誠訂立賣買協議，並不知悉原吿所指稱的欺詐。
公司現正收集資料及尋求法律意見，並將採取積極措施維護集團的利益。公司認為，上述法律訴訟目前未對集團的正常業務及運營造成影響，日後亦不會對集團的整體業務、運營或財務表現造成任何重大不利影響。
