陽普醫療(300030.SZ)：與珠海橫琴新區管理委員會擬簽訂戰略合作協議
格隆匯6月15日丨陽普醫療(300030.SZ)公佈，為貫徹落實合作意向，公司與珠海橫琴新區管理委員會本着友好合作、互利互惠、共同發展的原則，經友好協商，雙方擬簽署《戰略合作協議》。
2021 年6月14日，公司召開了第五屆董事會第九次會議和第五屆監事會第八次會議，審議通過了《關於簽署<珠海橫琴新區(橫琴自貿試驗區)管理委員會與廣州陽普醫療科技股份有限公司戰略合作協議>的議案》。
合作雙方：
甲方：珠海橫琴新區管理委員會
乙方：廣州陽普醫療科技股份有限公司
合作內容如下：
在遵守相關法律法規的前提下，公司擬將註冊地遷移至橫琴新區，並逐步在橫琴設立醫療器械、精準醫療等相關業務的研發、銷售總部，人才聚集、產業轉化中心。在公司實現遷址至橫琴新區的前提下，為支持公司在橫琴紮根發展，珠海橫琴新區管理委員會將按照《橫琴總體發展規劃》，為公司全面落實國家、廣東省、珠海市賦予橫琴的各項優惠政策，為公司提供良好的投資環境和優質的政務服務，在公司開辦(遷入)、資質申請、政策兑現、辦公場地、投融資、人才落户、出入境便利等方面給予乙方全力支持。
甲方支持措施具體包括：
(1)甲方在橫琴一體化發展區域為乙方遷址及設立研發中心提供匹配乙方產能的項目用地選址，並安排區內各政府部門統籌推進項目立項、土地規劃、消防環保、安監等事項；在乙方取得項目用地使用權並建設辦公樓投入使用前甲方為乙方及在橫琴設立的子公司提供臨時辦公場所。
(2)甲方在擬出台的上市企業引入及培育獎勵辦法中充分考慮乙方業務特點和規模，為乙方落實落户獎勵、研發費用補貼等，支持乙方做大做強。
(3)甲方同意在合法合規的前提下，從扶持本地企業發展及實現税收本地化出發，支持所轄區域內的公立醫院優先採購使用乙方經營產品。
(4)甲方將按照《橫琴總體發展規劃》及十四五規劃，為乙方全面落實國家、廣東省、珠海市賦予橫琴的各項優惠政策。甲方同意乙方及其子公司按照《橫琴新區引進人才租金和生活補貼暫行辦法》(珠橫新辦〔2019〕18號)享受相關政策，其中博士學歷員工不受暫行辦法的年齡限制。
(5)甲方應就乙方本次註冊地遷入等合作事項組織工商、食藥監、海關等相關政府部門詳細研究，並確實保證合作事項不違反中國證監會、證券交易所等監管部門的監督管理。
乙方支持措施具體包括：
(1)協議簽署後，乙方依據法定程序啟動註冊地址遷移工作。
(2)乙方承諾將註冊地遷入橫琴新區，並將醫療器械、精準醫療等相關業務在存量業務保留在現有經營所在地的基礎上將新增業務與新增產能逐步轉移至橫琴，以打造以精準醫療與智慧醫療為核心的醫療產業集羣，具體事宜由甲乙雙方另行約定。包括但不限於如下：
①設立智慧醫療公司。乙方在橫琴成立智慧醫療公司，將現有從事醫院信息化、醫療大數據應用等與智慧醫療相關的子公司業務轉入該新公司。
②設立細胞治療公司。乙方負責協調在橫琴設立相關公司，儘快在珠海開展該技術在相關領域的研究與應用。
