旭通控股(01826.HK)重新委任常亮及黃智成為公司董事
格隆匯6月15日丨旭通控股(01826.HK)宣佈，於2021年5月25日，公司接獲要約人於高等法院針對(其中包括)高雲紅、馮雪蓮、新董事及公司發出日期為2021年5月25日的經修訂傳訊令狀，對先前決議案之有效性提出異議。要約人亦已取得要約人傳票，以申請命令限制704號訴訟之被吿人採取行動或先前決議案。
要約人傳票已於2021年6月4日在高等法院進行聆訊。於2021年6月4日，經馮雪蓮及高雲紅向要約人及高等法院承諾，彼等各自及受僱人或代理或其他人士不會於704號訴訟有裁決或高等法院進一步頒令前行動、執行或進行致令先前決議案生效的行動後，高等法院頒令(其中包括)限制新董事及公司、彼等各自及彼等之受僱人或代理或其他人士在704號訴訟有裁決或高等法院進一步頒令前行動、執行或進行致令先前決議案生效的行動。
董事會宣佈，於2021年6月1日，董事會(由高雲紅、馮雪蓮及新董事組成)已通過決議案，據此，內容有關(其中包括)(1)罷免；(2)委任董事；及(3)委任授權代表之先前決議案之運作及實施連同其法律效力將吿暫停，猶如先前決議案概無生效，即：(1)吳建韶仍擔任執行董事、行政總裁及授權代表，而吳建韶與公司訂立之董事服務合約並無終止；(2)陳玉生仍擔任獨立非執行董事、審核委員會、薪酬委員會及提名委員會成員，而陳玉生與公司訂立之委任函並無終止；(3)尹智偉仍擔任獨立非執行董事、薪酬委員會主席、審核委員會及提名委員會成員，而尹智偉與本公司訂立之委任函並無終止；(4)劉國煇仍擔任獨立非執行董事、審核委員會主席及提名委員會成員，而劉國煇與本公司訂立之委任函並無終止；(5)常亮未獲委任為執行董事；(6)郝立軍未獲委任為獨立非執行董事、審核委員會、薪酬委員會及提名委員會成員；(7)黃智成未獲委任為獨立非執行董事、審核委員會主席、薪酬委員會及提名委員會成員；(8)禹曉耕未獲委任為獨立非執行董事、薪酬委員會主席、審核委員會及提名委員會成員；及(9)高雲紅及馮女士各自未獲委任為授權代表。
董事會宣佈，常亮已獲重新委任為執行董事，自2021年6月1日起生效。常女士已與公司訂立董事服務合約，自2021年6月4日起為期一年，可由任何一方發出一個月書面通知予以終止，並須根據細則於公司應屆股東周年大會上輪值退任及重選連任，或直至Gentle Soar禁制令申請有最終裁決為止(以較後者為準)。
同日宣佈，黃智成已獲重新委任為獨立非執行董事，自2021年6月1日起生效。
進一步宣佈，李志勇於2021年5月3日不再擔任授權代表，而高雲紅已獲重新委任為授權代表，自2021年6月1日起生效。
此外，李志勇已辭任公司的公司祕書，自2021年6月1日起生效。
