遠東發展(00035.HK)擬12.57億港元出售倫敦Dorsett City酒店
格隆匯6月15日丨遠東發展(00035.HK)宣佈,於2021年6月15日,賣方與買方訂立買賣協議,據此,賣方同意出售而買方同意購買倫敦Dorsett City酒店(一間由集團開發之酒店)的營運及物業所有權公司的所有權,總代價為1.15億英鎊(相當於約港幣12.57億元)(減銀行貸款金額及股東貸款金額,並可作完成後調整)。於完成交易時,買方將促使(i)Elite以現金向貸款人償還銀行融資項下相當於銀行貸款金額之金額,扣除適用法律規定之任何税務扣減或預扣;及(ii)Elite以現金向Mazuma償還相當於股東貸款金額之金額,扣除適用法律規定之任何税務預扣。
此外,於完成交易時,DCLL、管理人與公司(作為管理人的擔保人)將訂立酒店管理協議,據此,DCLL須委任管理人於年期內管理及營運倫敦Dorsett City酒店。銷售事項及酒店管理協議均與集團目前擁有及營運之倫敦Dorsett City酒店有關。
據悉,Elite為公司間接全資附屬公司,為一間物業持有公司。其目前為倫敦Dorsett City酒店的擁有人。DCLL為公司間接全資附屬公司,並進行酒店營運業務。其目前營運倫敦Dorsett City酒店。Mazuma為公司間接全資附屬公司,從事投資控股。其為Elite的擁有人。DHUL為公司的間接全資附屬公司,從事酒店營運業務。其為DCLL的擁有人。
董事估計,於完成交易後,預期集團自銷售事項錄得收益約5000萬英鎊(相當於約港幣5.465億元),即代價減擁有人保證回報之公平值,減集團於完成交易時應占該等目標公司估計賬面值以及有關銷售事項之估計開支總額。董事預期,銷售事項所得款項淨額將用作集團一般營運資金。
董事認為銷售事項及訂立酒店管理協議將會(其中包括):(i)變現倫敦Dorsett City酒店的價值;(ii)使銷售事項所得收益得以變現及資本可循環投資;(iii)增加流動資金及減少資產負債淨額;及(iv)於2019冠狀病毒病疫情後酒店業穩定時為集團提供管理費收入來源。
