巨人網絡(002558.SZ)：為支持公司發展 巨人投資擬向公司無償贈與巨堃網絡1.1%股權
格隆匯6月15日丨巨人網絡(002558.SZ)公佈，上海巨堃網絡科技有限公司(“巨堃網絡”)是公司的參股子公司，公司直接持有其48.81%股權，公司全資子公司上海巨道網絡科技有限公司(“巨道網絡”)持有其0.19%股權，公司及巨道網絡合計持有其49%股權，公司關聯法人巨人投資有限公司(“巨人投資”)持有其51%股權。
為支持公司發展，巨人投資擬向公司無償贈與其持有的巨堃網絡1.1%股權。此次交易完成後，巨人投資持有巨堃網絡49.9%股權，巨人網絡持有巨堃網絡49.91%股權，巨道網絡持有巨堃網絡0.19%股權，公司及巨道網絡合計持有巨堃網絡50.1%股權，巨堃網絡將從公司的參股子公司變為公司的控股子公司。
提高公司質量和保護中小股東利益是上市公司的義務和責任擔當。巨堃網絡是公司與巨人投資共同打造的戰略聯動平台，其設立初衷為圍繞股東方資源優勢對新興互聯網領域進行探索和佈局。截止目前，巨堃網絡完成了對Alpha的控股型投資，旗下主要資產Playtika是一家以人工智能及大數據分析技術為驅動的高科技互聯網公司，目前主要將人工智能及大數據分析技術運用從事休閒社交類網絡遊戲的研發、發行和運營，其業務分佈在美國、歐洲、澳大利亞等海外市場。
為支持上市公司發展，公司實際控制人控制的企業巨人投資擬無償向公司贈與其持有的巨堃網絡1.1%股權。此次受贈完成後，公司及巨道網絡將合計持有巨堃網絡50.1%股權，巨人投資持有巨堃網絡49.9%股權，巨堃網絡將從公司的參股子公司變為公司的控股子公司。本次資產贈與不附加任何條件和義務。
巨人投資為本次贈與的贈與方，也是公司實際控制人控制的企業，巨堃網絡是巨人投資和公司共同打造的戰略聯動平台。公司的網絡遊戲業務在行業具有相當知名度，是國內較早進入網絡遊戲市場的公司之一，並取得不俗的市場成績與玩家口碑，擁有穩定的經營管理團隊以及研發運營經驗和完善的治理結構，本次贈與完成後，巨人網絡可以更好的提高巨堃網絡的運營管理，給予巨堃網絡未來更為良好的發展。
鑑於Playtika擁有先進的技術實力及全球發行能力，此次受贈有利於公司迅速積累人工智能、大數據等先進技術，豐富公司產品線，獲取全球發行能力，推動公司國際化發展戰略的實現，有力地增強公司的持續盈利能力和發展潛力，有效地提高公司質量。
國際化是公司的核心戰略，海外市場是廣闊的藍海，也是弘揚和推廣中國遊戲文化產品的必爭之地。通過本次受贈，公司的資產質量得到提升，並獲得海外發展的支撐點，增強了公司經營實力，並將實際控制人的遊戲產業業務全部納入公司治理體系，消除了潛在的同業競爭並避免關聯交易，有力地保護了公司及中小股東的利益。
