金固股份(002488.SZ)：特維輪擬轉讓新康眾不超9.39%股權
格隆匯6月14日丨金固股份(002488.SZ)公佈，特維輪擬將新康眾約5%股權(對應新康眾的註冊資本人民幣14,114,781.4元)轉讓給品質汽車，轉讓價格約1.13億美元(約7.22億元人民幣，按照6.4054匯率測算(最終以公司結匯時匯率為準)，下同)。同時，特維輪全資子公司蔻眾信息科技(上海)有限公司(“蔻眾”)擬通過向New Carzone Inc.(“開曼公司”)出售股份的方式轉讓不超過開曼公司9361.1436萬股普通股(最終以實際交割的股份數量為準)，按穿透計算佔新康眾不超過4.39%股權，轉讓價格為不超過9896.601萬美元(約6.34億元人民幣)。
通過上述交易，特維輪合計擬轉讓新康眾不超過9.39%股權(最終以實際交割的股權數量為準)，預計收取的交易對價不超過人民幣約13.56億元，按照最大出售數量計算，經初步測算特維輪獲得的轉讓收益(税前)約人民幣10.37億元(最終以會計師事務所審計結果為準)。
此次轉讓前，特維輪(直接及間接)持有新康眾11.868%的股權；此次轉讓後(按照最大出售數量計算)，特維輪通過全資子公司蔻眾間接持有新康眾約2.314%的股權。此次轉讓事項，尚需股東大會審議通過。
鑑於公司未來的發展戰略將聚焦鋼輪主業，2021年起公司將逐步剝離其他業務，輕裝上陣。因此，特維輪此次出售新康眾股權有利於整合及優化現有資源配置，符合公司實際經營及未來發展需要。此次交易實現後產生的税前淨利潤約人民幣10.37億元，將對公司2021年度淨利潤產生一定積極影響，最終數據將以公司年度經審計的財務報吿數據為準。
此次交易後，公司將不再擁有新康眾公司的董事席位，公司董事長兼總經理孫鋒峯將不再擔任新康眾董事長、品質汽車董事、開曼公司董事、Harbor Auto Parts Limited董事。
