萬科企業(02202.HK)：擬對非開發業務的跟投機制進行迭代
格隆匯6月14日丨萬科企業(02202.HK)公佈，公司第十八屆董事會第三十次會議審議通過《關於補充完善複雜項目及非開發業務跟投機制的議案》，明確了複雜項目和非開發業務的跟投機制。為加快非開發業務的發展，充分激發非開發業務經營管理層及核心員工的“當家人”意識，穩定和吸引人才，並推動公司內部資源協同，實現“一盤棋”長期穩健發展，更好的回報全體股東，公司擬對非開發業務的跟投機制進行迭代。要點如下：
1、適用範圍：公司近年來開展的非開發業務，包括但不限於物流倉儲、商業、長租公寓、冰雪、教育、企業服務、食品業務，未來擬拓展的非開發業務。
2、跟投人員：包括公司董事、監事、法定高級管理人員在內的所有員工，以非開發業務的核心經營團隊、骨幹員工為主，具體跟投人員以屆時確定的跟投方案為準。
3、參與方式：結合業務的實際情況、行業或市場慣例等因素，制定員工跟投的具體方式，包括但不限於直接持股，通過設立合夥企業、有限責任公司、信託計劃、資產管理計劃等其他符合法律法規的方式持股。取得股權的來源包括但不限於受讓相關下屬子公司股權、認購下屬子公司新增股權或與萬科共同投資新設立的公司。
4、跟投權益比例上限：跟投人員直接或間接持有的業務權益比例合計不超過20%，對於萬科股權比例低於50%的業務，跟投人員直接或間接持有的權益比例還需不超過萬科在該業務所持權益比例的40%。未經董事會薪酬與提名委員會同意，單一跟投人員直接或間接持有的業務權益比例不超過3%。
5、跟投價格：跟投定價標準為如下之一：(1)不低於萬科在該業務的已投成本及對應融資成本之和；(2)不低於合資格獨立第三方評估的公允價格；(3)不低於每股淨資產。
6、資金來源：跟投資金全部由相關員工自籌，公司及下屬企業不得為該等員工提供貸款，包括為其貸款提供擔保。
7、審批權限：公司股東大會授權董事會及董事會轉授權公司總裁按上述要求，根據業務的具體情況，組織制定跟投方案，並選擇合適的時機具體實施。上述方案及其落實情況向董事會投資與決策委員會備案。董事、監事和高級管理人員如直接或間接參與跟投，需報董事會薪酬與提名委員會審議。
8、有效存續期：本跟投機制系一項為促進下屬企業發展的長期安排，經公司股東大會審議通過後生效，直至股東大會另行通過新的方案為止。
此議案尚需提交股東大會審議。如有符合資格的股東在合法時間內向股東大會提出該項臨時提案，董事會同意將該臨時提案提交股東大會審議。
