藥明康德(603259.SH)：上海瀛翊違反承諾減持股份 減持總金額達28.94億元
格隆匯6月11日丨藥明康德(603259.SH)公佈，公司於2021年6月11日收到公司股東上海瀛翊投資中心(有限合夥)(“上海瀛翊”)《關於違反承諾減持股份的情況説明及致歉函》。
減持前，上海瀛翊持有公司2053.8252萬股A股股份，約佔公司總股本的0.8381%(以本次減持前即2021年5月13日公司總股本2,450,633,599股為基礎計算)。
2021年5月14日至6月7日，上海瀛翊通過上海證券交易所集中競價交易系統減持公司1610.7986萬股(2020年度權益分派前)A股股份，2021年6月8日上海瀛翊通過上海證券交易所集中競價交易系統減持公司114.17萬股(2020年度權益分派後)A股股份，該等股份合計1724.9686萬股，約佔公司總股本的0.6962%，減持價格區間為143.49元/股至176.88元/股，減持總金額為28.94億元。
截至公吿日，上海瀛翊持有公司417.4619萬股A股股份，約佔公司總股本的0.1419%(以公司2021年6月10日總股本2,941,500,699股為基礎計算)。
上海瀛翊在實施本次減持之前未能遵守其作為委託投票方作出的有關減持公司股份的相關承諾，未提前通知公司，也沒有提前15個交易日通過公司披露減持計劃履行公吿等相關程序。
上海瀛翊就上述違反承諾給出的主要原因為：上海瀛翊減持前持股佔公司總股本的0.8381%，未達總股本的1%，相關工作人員未能意識到作為委託投票方，上海瀛翊在公司A股上市時已經作出有關減持公司股份的承諾，應適用中國證監會《上市公司股東、董監高減持股份的若干規定》以及《上海證券交易所上市公司股東及董監高減持股份實施細則》等相關規定，導致了本次違反承諾減持行為。
公司在6月8日因實施2020年度權益分派而取得中國證券登記結算有限責任公司發送的最新股東名冊後，注意到上海瀛翊所持公司股份數量發生變化，隨後立即通過發函以及電詢的方式向上海瀛翊進行核查並提示相關規則與其已作出的承諾事宜。上海瀛翊收到公司的核查要求後，馬上開展自查。
上海瀛翊自查確認上述違反承諾的減持行為後，已立即停止減持行為，並已責令相關人員重新鞏固學習中國證監會《上市公司股東、董監高減持股份的若幹規定》及《上海證券交易所股票上市規則》、《上海證券交易所上市公司股東及董監高減持股份實施細則》等相關法律、法規和規範性文件以及上海瀛翊所做出的各項承諾，嚴格履行減持計劃事先報備及預披露的程序，杜絕此類事件再次發生。
上海瀛翊已意識到上述減持行為違反了其對上市後減持公司股份事項所做之承諾，也進行了深刻的自查反省，並就本次違反承諾的減持行為給公司及公司全體股東造成的影響，致以誠懇的歉意。
