清水源(300437.SZ)：擬轉讓中旭環境50%的股權
格隆匯6月11日丨清水源(300437.SZ)公佈，公司於2021年6月11日召開了第五屆董事會第四次會議、第五屆監事會第四次會議，審議通過了《關於出售控股子公司部分股權並簽署股權轉讓協議的議案》。公司獨立董事對此發表了同意的獨立意見。此次交易尚需提交公司股東大會審議。為進一步聚焦主營業務，改善資產結構，優化資源配置，降低公司經營風險，提高公司發展質量，公司擬對相關業務進行調整，並轉讓持有的控股子公司安徽中旭環境建設有限責任公司(“中旭環境”或“標的公司”)50%的股權。
2017年，公司通過支付現金購買資產的方式購買李萬雙、胡先保、安徽聚羣投資管理中心(有限合夥)(“安徽聚羣”)持有的中旭環境55%股權(“前次重組”)。2017年12月12日，公司2017年第三次臨時股東大會審議通過《關於公司支付現金購買資產方案的議案》等議案，同意公司以支付現金的方式購買李萬雙、胡先保、安徽聚羣投資管理中心(有限合夥)持有的中旭環境55%股權，交易價格為36874.75萬元。2017年12月22日，中旭環境完成股權變更工商登記手續，變更後公司持有其55%股權(“前次重組”)。截至公吿披露日，公司已支付前次重組股權轉讓款合計29499.8萬元，剩餘7374.95萬元尚未支付。
截至協議簽署日，前次重組的業績承諾期已結束，標的公司未完成業績承諾，根據《業績補償協議》、《業績補償協議之補充協議》，李萬雙、胡先保需向公司支付業績補償款。由於中旭環境未來經營和業績可能面臨經濟環境、行業周期、運營管理、內部控制等方面的風險，為了體現公平、公正、公允、自願、誠信的原則，儘快回籠資金用於公司生產經營，現經公司與中旭環境原股東李萬雙、胡先保、安徽聚羣友好協商，公司擬將持有的中旭環境50%股權以不低於前次重組價格轉讓給李萬雙。李萬雙、胡先保、安徽聚羣放棄請求公司支付前次重組剩餘股權轉讓款的權利，即公司不再向李萬雙、胡先保、安徽聚羣支付前次重組剩餘股權轉讓款，在此基礎上，李萬雙以26646萬元價格回購公司所持有的中旭環境50%股權。
此次股權轉讓，是公司為了集中優勢資源發展主業、加快轉型的重要舉措。此次股權轉讓後，中旭環境將不再納入合併報表範圍，有利於公司調整資產結構，更加突出主業，符合相關政策規定，公司將在相對熟悉的業務領域聚焦發展。
