國立科技(300716.SZ)：擬以1元轉讓國立通盈51%股權給薛志文
格隆匯6月11日丨國立科技(300716.SZ)公佈，為了進一步聚焦主營核心業務，整合和優化資源配置，提升公司整體競爭力，公司擬與薛志文簽訂股權轉讓協議，擬將控股子公司國立通盈51%的股權以1元的價格轉讓給薛志文。此次交易完成後，公司不再持有國立通盈股權。
在充分考慮國立通盈所處的經營環境及目前的財務狀況後，公司以國立通盈截止2021年4月30日的淨資產作為轉讓價格的定價參考。由於國立通盈截止2021年4月30日的淨資產為-25,756,128.91元，基於公平、公正的原則，經交易雙方協商一致，此次交易定價為1元。
國立通盈系公司為抓住市場機會，充分發揮自身在的技術優勢和產品積累，深化與迪士尼等品牌授權的業務合作，於2019年8月成立。國立通盈的主營業務定位為研發、設計、生產、銷售迪士尼等品牌授權成品鞋、帽、箱包、日用品、棉紡織品、針紡織品、文教用品、家居用品、廚房用品、電子配件；包裝設計；服裝鞋帽設計；工業產品設計；創意服務；市場營銷策劃等。2020年以來，受新冠肺炎疫情等因素影響，國立通盈實體銷售跟預期計劃相差較大，經營受到較大的衝擊。2020年，國立通盈實現收入30,828,182.78元，淨利潤-29,502,006.16元；2021年1-4月，國立通盈實現收入15,602,302.76 元，淨利潤-8,763,672.58 元，處於持續虧損狀態。
鑑於國立通盈目前處於虧損狀態，且預計短期內不存在對其業務開展積極有利的情形，與公司投資初衷不符，為減少國立通盈給公司經營帶來的不利影響，並進一步集中公司資源發展主營業務，經公司管理層討論決定轉讓公司所持有的國立通盈51%股權，此次股權轉讓後，國立通盈不再納入公司合併報表範圍。
以國立通盈2021年4月30日財務報表數據為測算，經公司財務部門初步測算，此次股權轉讓，公司預計將獲得投資收益約1271萬元，佔公司最近一期經審計歸屬於母公司股東的淨利潤的4.01%(最終以年度會計師事務所審計意見為準)。
