國電電力(600795.SH)：大渡河公司擬重組雙江口水電公司 持股比例將增至62.83%
格隆匯6月11日丨國電電力(600795.SH)公佈，2021年6月11日，公司召開七屆八十一次董事會，審議通過《關於雙江口水電公司股權重組的議案》。根據公司戰略安排，公司控股子公司大渡河公司擬對雙江口水電公司進行股權重組。雙江口水電公司股權重組方案為：
1.認繳大唐國際出資權
公司2015年第四次臨時股東大會審議通過《關於國電大渡河公司控股子公司四川大渡河雙江口水電開發有限公司增資擴股引入戰略投資者的議案》，同意雙江口水電公司註冊資本由5.30億元增加至18億元，新增註冊本12.70億元，新增資本部分，大渡河公司、華電國際放棄優先認購權，由四川鐵能、深圳能源、大唐國際現金認購。
大渡河公司擬認繳大唐國際上述應繳未繳資本金2.10億元，認繳出資2.90億元，對應雙江口水電公司11.66%股權。認繳完成後，大渡河公司持有雙江口水電公司股權由22.97%增加至34.63%。
2.對雙江口水電公司增資，擬受讓深圳能源所持雙江口水電公司全部股權
按照雙江口水電站核准概算366.14億元計算，股東出資總額73.23億元，扣除已出資22.82億元(資本金18億元，溢價4.82元)，股東仍需出資50.41億元。
天職國際會計師事務所(特殊普通合夥)成都分所、中聯資產評估集團有限公司對雙江口水電公司分別進行了審計和資產評估，基準日為2020年6月30日。根據資產評估報吿(中聯評報字[2020]第1897號)，雙江口水電公司淨資產賬面值約22.60億元，淨資產評估值約29.50億元，評估增值約6.90億元，評估增值率30.53%。雙江口水電公司該次增資價格為1.59元/股，增資規模31.70億元，股東共計出資50.41億元。新增資本中，大渡河公司認購20.49億元，出資32.59億元。
2021年6月11日，深圳能源召開董事會七屆一百二十次會議，深圳能源擬在深圳聯合產權交易所通過公開掛牌方式轉讓所持雙江口水電公司全部股權，掛牌底價約為7.15億元。按照《四川大渡河雙江口水電開發有限公司章程》規定，大渡河公司作為雙江口水電公司股東，擬在同等條件下行使優先受讓權。
按照公司受讓深圳能源所持雙江口水電公司全部股權進行測算，該次重組完成後，大渡河公司持有雙江口水電公司股比將增加至62.83%。
公司表示，該次重組雙江口水電公司是貫徹落實公司水電發展戰略的重要舉措，可加快推進雙江口建設和大渡河上段水電項目開發，為大渡河流域水風光一體化可再生能源綜合開發基地建設奠定基礎，有助於推進公司清潔化發展和能源結構調整。
