天津普林(002134.SZ)：持股5%以上的津融集團減持股份時誤操作致短線交易
格隆匯6月9日丨天津普林(002134.SZ)公佈，公司於近日收到公司持股5%以上股東天津津融投資服務集團有限公司(“津融集團”。截止目前，共持有公司股票3855.27萬股，持股比例15.68%。)出具的《關於減持天津普林股份時誤操作導致短線交易的吿知函》，獲悉因其工作人員操作失誤，在減持過程中錯誤實施一筆買入交易而構成短線交易。
津融集團於2021年03月09日向公司提交了《關於股份減持計劃的吿知函》，計劃自2021年03月10日起的15個交易日之後的六個月內以集中競價方式減持公司股份不超過491.6994萬股(若此期間有送股、資本公積轉增股本等股本變動事項，應對該數量進行相應調整)，即不超過公司總股本的2%。且在任意連續90日內，採取集中競價方式，減持股份的總數不超過公司股份總數的1%，即不超過245.8497萬股。
2021年3月31日至2021年6月7日，津融集團通過集中競價交易方式減持公司股份，具體交易明細如下：
由於津融集團工作人員操作失誤，於2021年06月07日將一筆股票賣出誤操作為股票買入，買入公司股份5000股，成交價格8.30元/股，成交金額4.15萬元。上述交易行為違反了《證券法》第44條及深圳證券交易所的相關規定，構成短線交易。經津融集團自查，該筆短線交易行為不存在因獲悉內幕信息而交易上市公司股票的情況，亦不存在利用短線交易謀求利益的目的。
上述短線交易行為系津融集團在減持公司股份過程中相關工作人員操作失誤造成，津融集團不具有短線交易的主觀故意。津融集團已深刻意識到本次事項的嚴重性，現就本次操作失誤構成的短線交易給上市公司和市場帶來的不良影響致以誠摯的歉意。
根據《證券法》及《深圳證券交易所股票上市規則》的相關規定，構成短線交易的，由此所得收益歸上市公司所有，上市公司董事會應當收回其所得收益。津融集團於2021年06月07日因誤操作買入公司股份5,000股，成交金額為41500元，以2020年12月07日至2021年06月07日期間的賣出均價8.4479元/股為參考，計算所得收益為(5000股*8.4479元/股－41500元)，即739.5元。上述所得收益739.50元作為此次短線交易的獲利金額，將上交由上市公司所有。
