*ST赫美(002356.SZ)：未依法及時披露重大債務逾期事項等 收到警示函
格隆匯6月9日丨*ST赫美(002356.SZ)公佈，公司於2021年6月9日收到中國證券監督管理委員會深圳監管局下發的《深圳證監局關於對深圳赫美集團股份有限公司、王磊採取出具警示函措施的決定》(〔2021〕56號)。現將主要內容公吿如下：
一、未依法及時披露控股子公司股權被司法拍賣進展事項
深圳赫美小額貸款股份有限公司(以下簡稱赫美小貸)是赫美集團持股51%的控股子公司。2020年12月4日，公司持有的赫美小貸上述股權被司法拍賣成交。赫美集團對上述重要進展事項未依法及時履行信息披露義務，直至2021年1月5日才予以披露。
二、未依法及時披露重大債務逾期事項
2018年10月至2019年8月，赫美集團存在多筆重大逾期債務。赫美集團未就上述事項及時履行信息披露義務，直至2019年8月30日、2020年5月29日才予以披露。
赫美集團上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號，下同)第二條第一款、第三十條第一款和第二款第四項、第三十二條的規定。王磊作為赫美集團董事長、董事會祕書，未按照《上市公司信息披露管理辦法》第三條的規定履行勤勉盡責義務，對公司上述違規行為負有主要責任。根據《上市公司信息披露管理辦法》第五十九條規定，我局決定對赫美集團、王磊採取出具警示函的行政監管措施。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
公司已將上述監管措施決定的內容吿知相關責任人，公司及相關人員將以此為戒，認真吸取經驗教訓，加強對《上市公司信息披露管理辦法》以及其他相關法律、法規的學習，進一步規範公司運作水平，依法切實履行信息披露義務，不斷提高公司信息披露質量，更好地維護公司及全體股東利益，促進公司健康有序發展。
