TOMO HOLDINGS(06928.HK)：51.11%股權易手馬小秋致提全購 明日復牌
格隆匯6月8日丨TOMO HOLDINGS(06928.HK)公佈，董事會於2021年6月2日接獲賣方TOMO Ventures Limited通知，賣方(作為賣方)、擔保人(作為賣方擔保人)與要約人Billion Legend Company Limited(作為買方)訂立買賣協議，據此，賣方有條件同意出售及要約人有條件同意購買2.30億股股份，佔於聯合公吿日期公司已發行股本總額51.11%，總現金代價為1.30億港元(即每股待售股份0.5667港元)。
緊隨完成後，要約人一致行動集團將持有合共2.30億股股份(相當於公司已發行股本總額的51.11%)。因此，要約人於完成後將須根據收購守則規則26.1就所有已發行股份(不包括要約人一致行動集團已擁有或同意收購的股份)提出強制性無條件現金要約。每股要約價為現金0.5667港元，較6月2日(即最後交易日)收市價每股2.850港元折讓約80.12%。
據悉，要約人為於英屬處女羣島註冊成立的投資控股有限公司。於聯合公吿日期，要約人由馬小秋全資實益擁有。馬小秋為要約人的唯一董事。
馬小秋，60歲，資深投資人，於文旅、科技及醫療保健領域擁有逾20年經驗。馬小秋於一家芯片製造商(深圳市豐源芯科技產業控股有限公司)、一家醫療保健服務機構(深圳天成銘道醫學科技股份有限公司)及一家電影製作公司(深圳秋豪影視有限公司)持有重大投資份額。馬小秋負責文旅、科技及醫療保健領域公司投資項目的管理、業務發展及評估。馬小秋自此在企業管理、發展及投資評估方面積累豐富經驗。馬小秋亦為上述公司的法定代表及執行董事。馬小秋現任中國鼎益豐控股有限公司(一家於聯交所主板上市的公司，主要從事上市及非上市證券投資業務，股份代號：0612)及富匯國際集團控股有限公司(一家於聯交所主板上市的公司，主要於香港從事土木工程及樓宇工程以及於中國從事教育及培訓業務，股份代號：1034)的非執行主席。馬小秋現時投入其約10%時間履行該兩家公司非執行主席職務，其職責包括制定企業策略、規劃及業務發展，並監管該兩家公司的管治情況。
此外，公司已向聯交所申請自2021年6月9日上午九時正起於聯交所恢復股份買賣。
