貴陽銀行(601997.SH):因與九州名城合同糾紛提起的訴訟已獲法院受理

格隆匯6月6日丨貴陽銀行(601997.SH)公佈,公司因與貴州九州名城房地產開發有限公司(“九州名城”)合同糾紛向貴州省貴陽市中級人民法院提起訴訟並於近日收到貴州省貴陽市中級人民法院的案件受理通知書。

案件事實:201312月,公司根據簽訂《信託受益權轉讓合同》,支付轉讓價款5億元取得該信託項下的全部信託受益權及相關權利。該信託項下對應的底層資產為20139月九州名城作為借款人取得的金5億元、期限3年的委託貸款,經辦行為貴陽銀行瑞南支行。2018年,根據《債權轉讓暨現狀分配協議》,公司取得上述委託貸款債權、追索權、擔保權利及其他一切相關權益。

貴陽銀行瑞南支行分別與九州名城股東周偉剛、周韶斌簽訂自然人連帶責任《保證合同》,同時,周偉剛、周韶斌以其持有的九州名股權作質押。貴陽銀行瑞南支行與九州名城簽訂《抵押合同》,合同約定以九州名城名下貴陽市三馬片區606162地塊土地使用權作抵押擔保,並辦理了土地抵押登記;為進一步保障債權實現,九州名城追加提供在建工程抵押,並辦理了在建工程抵押登記。

被吿九州名城未按照合同約定履行還款義務,為維護資金安全及合法權益,公司依法向貴陽市中級人民法院提起訴訟。

訴訟請求1、判令被吿九州名城立即償還原吿債權本金315,429,534.07及按合同約定計算的利息、罰息、複利、違約金至全部清償之日止,截止202157日尚欠付利息(含罰息、複利)756,336,871.88元;

2、判令被吿周韶斌、周偉剛對上述第1項確定的債務承擔連帶清償責任;

3、判令原吿對被吿九州名城位於貴陽市北京西路南側G(13)606162地塊(總面積為139913平方米)土地使用權位於雲巖區三馬片區北京西路九州十里錦城E區(在建工程)享有抵押權,並前述抵押物變價優先清償1項請求所述債務;

4、請求判令原吿對被吿周韶斌持有的九州名城20%股權、被吿周偉剛持有的九州名城80%的股權享有質押權,並對前述質押物變價優先清償1項請求所述債務;

5、判令被吿向原吿支付因本案承擔的律師費;

6、判令本案的訴訟費、保全費、公吿費及其他實現債權的費用由被吿承擔。

公司按照監管部門及公司內部關於資產風險分類的要求,已將本次訴訟所涉債權投資納入不良,並已對該筆債權本金全額計提減值備,預計本次訴訟事項不會對公司的本期利潤或期後利潤造成重大影響。
