景業名邦集團(02231.HK)擬與廣州金璨聯合開發廣州增城地產項目
格隆匯6月4日丨景業名邦集團(02231.HK)公佈,於2021年6月4日,廣州意濃(一家間接全資附屬公司)與廣州金璨、目標公司廣州市金碩房地產開發有限公司及項目公司廣州市金軒房地產開發有限公司訂立投資合作協議,據此(其中包括),廣州意濃應透過目標公司及項目公司與廣州金璨就土地進行聯合投資及開發。
訂約方同意廣州意濃支付投資資金並向目標公司注資,目標公司將分別由廣州金璨及廣州意濃擁有50%及50%之權益。廣州金璨及廣州意濃應享有項目公司所擁有的土地的土地使用權、土地的開發、建築及經營權以及所有關連及相關權利及基於彼等於目標公司股權的利益。
目標公司於2021年4月27日競標的土地總地價為人民幣9.18億元,其應分別由廣州金璨及廣州意濃按持股比例50%及50%注資。
項目公司主要於中國從事物業發展、銷售及物業管理。自其成立以來,並無開始任何業務。於公吿日期,項目公司賬面概無錄得營業額及溢利,而目標公司的資產總值及資產淨值為零。除於2021年4月27日在拍賣中贏得收購土地的競標外,目標公司尚未開始任何實質性業務營運。土地位於中國廣州市增城區中新鎮新新公路東側,總土地面積約為25,989.93平方米。該土地旨在用於二類居住用地(R2)。二類居住用地(R2)指用於建造主要用作居住用途之多層建築物(具有全面配套設施)之國有土地,佔中國居住用地的主要部分。
公吿稱,土地位於廣州市增城區,該地區為國家經濟技術開發區,以及新興汽車產業基地與旅遊經濟示範區。增城區位於粵港澳大灣區核心地帶,位置及交通便利。鑑於土地位置及指定用途,董事認為就聯合開發土地目的訂立交易將提供寶貴投資機會並與集團業務發展策略及規劃一致。金地集團在物業開發方面擁有豐富經驗。董事相信根據投資合作協議的合營安排可於開發土地過程中分享成本及風險。
