依頓電子(603328.SH)：依頓投資擬轉讓所持29.42%股份 控股股東擬變更為九洲集團
格隆匯6月4日丨依頓電子(603328.SH)公佈，公司於2021年6月4日收到公司控股股東依頓投資及實際控制人李永強、李永勝、李銘浚的通知，公司控股股東依頓投資及實際控制人李永強、李永勝、李銘浚與九洲集團於2021年6月4日簽署了《股份轉讓意向書》。
依頓投資擬通過協議轉讓的方式向九洲集團轉讓其持有的上市公司29.42%股份(以下簡稱“標的股份”)，九洲集團擬受讓標的股份，標的股份轉讓價格擬定為9元/股。
依頓投資擬自各方簽署正式股份轉讓協議之日起一個月內，向不構成關聯方或一致行動人的第三方(包括資管計劃)轉讓其持有的上市公司5.01%股份。在該5.01%股份正式轉讓完畢前，依頓投資擬無條件且不可撤銷地放棄該5.01%股份對應的表決權。
另外，依頓投資擬在正式股份轉讓協議(如有)中承諾，除意向書另有約定外，其永久無條件且不可撤銷地放棄其持有的上市公司部分股份對應的表決權，以使標的股份過户完成時，以及九洲集團作為上市公司控股股東期間，九洲集團持有的上市公司表決權比例超過依頓投資表決權比例不少於5%，該等表決權將於九洲集團實際持股比例超過依頓投資實際持股比例5%以上後自動恢復至依頓投資。但若九洲集團減持上市公司的股份，則因九洲集團減持導致其持有實際持股比例與依頓投資持有上市公司實際持股比例差額降低的部分，依頓投資無需放棄表決權。
因此在雙方股份轉讓完成後持股沒有變化的前提下，為確保九洲集團持有的上市公司表決權比例超過依頓投資表決權比例不少於5%，依頓投資最少將放棄其持有的上市公司4.56%(初步測算數據)股份對應的表決權，放棄公司4.56%股份對應的表決權後，依頓投資控制上市公司24.42%股份對應的表決權；九洲集團將持有上市公司29.42%股份，控制上市公司29.42%股份對應的表決權。
本次交易前，依頓投資持有公司6.33億股股份，佔公司總股本的63.41%，為公司控股股東；李永強、李永勝、李銘浚未直接持有公司股份，通過依頓投資控制公司63.41%股份，為公司實際控制人。
上述股份轉讓(含依頓投資對無關聯第三方5.01%的轉讓)及部分表決權放棄安排完成後，依頓投資將不再為上市公司控股股東，九洲集團將成為上市公司控股股東，綿陽市國資委將成為上市公司的實際控制人。
