和嘉控股(00704.HK)將成立調查委員會調查金巖和嘉有關貸款及或有負債事宜 繼續停牌
格隆匯6月3日丨和嘉控股(00704.HK)公佈，就公司間接附屬金巖和嘉所進行的潛在貸款事宜，根據初步調查結果，潛在貸款為金巖和嘉於2015年從呂梁市農村信用合作社聯合社(“信用社”)借入的一筆銀行貸款，及後信用社把該潛在貸款進行不良資產處置並打包予信達資產山西分公司，並經太原市公共資源拍賣中心於2020年12月29日作出掛牌轉讓，並轉讓予山西正本源貿易。潛在貸款本金及利息分別約為人民幣1.23億元及人民幣1.20億元。
除上述披露的潛在貸款外，根據中國人民銀行徵信中心報吿(“該報吿”)及由金巖和嘉進行的初步調查結果發現若干新增貸款(連同潛在貸款，“該等貸款”)，分別為：
1) 華夏銀行股份有限公司運城支行的銀行貸款，最早開立於2012年，其未結清信貸本金約為人民幣1.98億元；及
2) 中國民生銀行股份有限公司呂梁分行的銀行貸款，最早開立於2011年，並於海峽金融資產交易中心於2020年9月25日掛牌，其未結清信貸本金及相關利息分別為人民幣9997萬元及人民幣2384.68萬元。
同時，根據該等報吿及初步調查結果亦發現若干或有負債，分別為：
1) 為山西東義煤電鋁集團有限公司的貸款提供擔保人民幣2億元，擔保日期由2016年12月至2023年5月；
2) 為孝義市金巖物流有限公司的貸款提供擔保人民幣1455萬元，擔保日期由2020年10月至2021年10月；
3) 為金巖新型建材有限公司的貸款提供擔保人民幣465萬元，擔保日期由2020年10月至2021年10月；及
4) 為孝義市金巖熱電有限公司的貸款提供擔保人民幣450萬元，擔保日期由2020年11月至2021年11月。
以上初步調查結果是基於該報吿內容及公開資料，調查仍在進行中，仍有可能存在其他尚未發現的債項。
於2021年6月2日，公司召開了董事會會議並決議就該等貸款及或有負債展開進一步調查。董事會已決議成立由公司全體獨立非執行董事林開利、杜永添及王維新博士組成的獨立調查委員會(“調查委員會”)並由杜永添擔任調查委員會主席，以調查有關該等貸款及或有負債的事項。調查委員會將委任獨立會計及審計調查專家，以就該等貸款及或有負債的情況進行獨立調查，並根據需要，適時諮詢有關法律意見。
公司強調，董事會全體成員已確認，他們此前對上述有關期間內的該等貸款及或有負債均不知情。
此外，公司股份繼續停牌。
