文化傳信(00343.HK)擬6300萬港元收購仿腦科技(深圳)全部股份
格隆匯6月2日丨 文化傳信(00343.HK)公吿，於2021年5月28日，賣方(廣西富川華髮科技股份有限公司、深圳市羣友智能教育科技有限公司、羅偉釗、劉鉅波)與買方Vanity Holdings Limite(公司全資附屬公司)訂立該協議，據此，買方已同意購買而賣方已同意出售目標公司仿腦科技(深圳)有限公司全部股本，總代價為6300萬港元，將透過促使本公司按發行價發行及配發代價股份方式償付。
目標公司主要從事開發及銷售人工智能硬件及軟件。目標公司為一間專注於中文人工智能語言處理、中文自然語言理解和中文人工智能底層技術研發和商業化發展的科技公司。其核心科技是中文人工智能語言，該技術能將數字語音歸納串連，並形成能聽懂人類語言的人工智能語言，從而讓機器具備人類語言及語義的理解能力。該技術在人機交互、語義識別、智能電商、在線教育、智慧物聯網等領域皆有廣泛應用性，提供物聯應用不可或缺的人類語言理解能力，促進物聯網產業的規模化。
集團主要從事數碼化市場推廣；出版及知識產權授權；以及零售與批發。董事一直積極尋找及物色進一步投資機會，務求為股東帶來最大回報。集團約於2019年六月開始投資於大數據分析業務，而相關業務已逐漸成為集團主要核心業務。
在2019冠狀病毒病疫情整體商業活動放緩的影響下，集團大數據分析業務收入仍見顯著增長，惟該大數據分析相關業務仍未能轉虧為盈，主要原因在於沒有自家的平台及應用產品。
集團希望通過目標公司以人工智能為核心技術仿腦物聯智能操作系統為集團的大數據業務延伸發展至全面的端對端服務，解決現時沒有自家平台及應用產品的問題。該智能操作系統針對所有智能應用產品，為其提供具語言及語義理解能力中文人工智能語音服務。
公司已經向聯交所申請批准其股份由2021年6月3日上午九時正起復牌。
