智升集團控股(08370.HK)：擬向合營企業SPV墊付不超1億元貸款
格隆匯6月2日丨智升集團控股(08370.HK)宣佈，於2021年6月2日，公司(作為貸款人)與SPV(作為借款人)訂立SPV貸款協議，據此，公司將分兩批墊付總額最多為人民幣1億元(等值港元)的貸款。SPV由Cloud Knight(由文立全資擁有)擁有50%權益及由Lightning Cloud(由賴寧寧全資擁有)擁有50%權益。
SPV是為成立由Apollo Cellar、SPV及Opco HQ分別擁有40%、40%及20%權益的合營企業而成立的特殊目的公司。合營企業將主要於中國從事數據中心營運業務。
合營項目公司與萬諾通訂立日期為2021年6月1日的代建管理協議。根據代建管理協議，萬諾通將根據代建管理協議的條款就合營項目公司將營運的數據中心的代建工程提供工程及管理服務，預算合約金額合共為人民幣4.06億元。
公司建議委任賴寧寧為執行董事，自於股東特別大會上通過批准委任的必要決議案起生效，並須遵守組織章程細則及適用法律、規則及法規。委任須根據公司細則於委任後在公司股東大會上輪值退任及膺選連任。賴寧寧亦將籤立以公司為受益人的不競爭承諾。
於2021年6月2日，賴寧寧與公司訂立購股權契據，據此，公司有條件同意向賴寧寧授出購股權，代價為1.00港元，可於購股權期間內行使，致使根據購股權契據所載條款及在其規限下，賴寧寧有權要求公司按認購價配發及發行最多1億股認購股份。
由於賴寧寧將獲委任為執行董事，故根據GEM上市規則第20章，訂立購股權契據及其項下擬進行的交易構成公司的關連交易，並須(其中包括)於股東特別大會上獲獨立股東批准。
於2021年6月2日，公司與配售代理訂立有條件配售協議，據此，配售代理已同意作為公司的配售代理，按竭力基準根據配售協議的條款及條件安排承配人認購可換股債券。
初步換股價較(i)聯交所於2021年6月2日所報的收市價每股0.335港元溢價約49.25%；及(ii)聯交所於截至2021年6月2日(包括該日)止最後5個連續交易日所報的平均收市價每股0.346港元溢價約44.51%。
假設所有可換股債券將按初步換股價悉數轉換為換股股份，1.25億股換股股份相當於公司現有已發行股本約13.75%及公司經配發及發行換股股份擴大後的已發行股本約12.09%。配售事項的所得款項淨額約6020萬港元將用於集團於SPV貸款協議項下的承擔。
