聯洋智能控股(01561.HK)完成收購Lian Yang Guo Rong股份

格隆匯6月2日丨聯洋智能控股(01561.HK)公佈，有關可能收購Lian Yang Guo Rong Holdings Limited(即目標公司)的控制權。完成於2021年6月2日落實，因此，目標公司已成為公司間接擁有54.22%權益的附屬公司。目標公司的餘下股權由Lian Yang InvestmentLimited(即賣方)、FHJL Investment Limited及An Chen New Technology Holding Ltd分別擁有4.32%、30.24%及11.22%權益。
根據購股協議，69,106,895股代價股份已於完成時向賣方配發及發行。於公吿日期，賣方持有76,096,789股股份(佔公司已發行股本約10.19%)，並已成為主要股東。賣方已吿知公司，儘管其代價股份並無任何出售限制，惟其概無出售任何代價股份的計劃，並擬長期持有該等股份，倘若其出售任何代價股份，則其將有序地進行任何出售。
於公吿日期，賣方由宋爽、其母親宋鈺欽、馬賓、李家明、周宏仁、李玲羊、董騮煥、宿興輝、梁若濤、樓金根、鳳鐳及九名其他自然人(各自持有賣方不足1%股權)分別實益擁有32.50%、8.13%、15.47%、12.50%、6.25%、5.62%、4.69%、4.69%、3.12%、1.88%、1.56%及3.59%權益。
FHJL Investment Limited由張偉及胡雯雯分別實益擁有99%及1%權益。An Chen New Technology HoldingLtd由毛菲菲實益全資擁有。
