Platt Nera(01949.HK)附屬擬在泰國成立合營公司 以投資及開發現金存款機項目
格隆匯6月1日丨Platt Nera(01949.HK)公吿，於2021年6月1日，PN(公司間接附屬公司)與Prapan Asvaplungprohm先生及Cash Machine Capital Co.,Ltd.(CMC)簽訂合營企業協議，據此訂約各方同意(a)成立合營企業以進行投資及開發於泰國的現金存款機項目；及(b)規限彼等各自在合營企業的權利及義務。
於公吿日期，Asvaplungprohm先生為執行董事、董事會主席、公司行政總裁及控股股東之一。因此，Asvaplungprohm先生為公司關連人士。據此，根據上市規則，交易事項構成公司的一項關連交易。
CMC為一間於泰國註冊成立的公司，其由Pathompong Viriyapatr先生(彼為於建築及基礎設施業務方面擁有豐富經驗且為一名經驗豐富的投資者)擁有99%股本權益及由Asvaplungprohm先生擁有1%股本權益。
於成立合營企業後，PN、Asvaplungprohm先生及CMC將分別直接持有合營企業44%、9%及47%的股本權益。合營企業為一間將在泰國註冊成立的公司，並將從事投資及開發現金存款機項目。現金存款機項目是有關於收購及於泰國便利店安裝現金存款機、開發用於運行此類現金存款機的軟件及切換器，以及運行及維護此類現金存款機的項目。
於合營企業，集團將於合營企業將與集團簽訂的服務協議，以(其中包括)安裝、開發軟件及切換器以及運行及維護現金存款機機器中得益。此外，CMC將負責管理合營企業並確保為合營企業獲得進一步融資和／或投資者，從而最大限度地減少集團參與現金存款機項目的管理和資金投入。監於上述，訂約各方同意CMC持有的每股合營企業普通股將比其他合營企業股東持有的普通股擁有更多的投票權。該合營企業結構將進一步使集團能夠以較低的財務及管理資源投入參與現金存款機項目並從中得益，並從而降低風險，此乃集團在新型冠狀病毒病大流行導致泰國經濟不穩定情況下采取的審慎方法，以及為其當前及未來的項目保留該等資源。
