長方集團(300301.SZ)：與聚燦光電擬進行和解並實施債務重組
格隆匯5月31日丨長方集團(300301.SZ)公佈，公司於2021年5月28日召開第四屆董事會第十一次會議及第四屆監事會第七次會議審議通過了《關於實施債務重組的議案》，因受疫情影響，公司未能按照合同約定足額及時向聚燦光電科技股份有限公司(“聚燦光電”)支付相應貨款，聚燦光電向深圳市中級人民法院提起訴訟。現雙方擬進行和解並實施債務重組，針對此次與聚燦光電的貨款糾紛，公司將承擔並支付利息6,564,619.94元及律師費、保全費等費用(費用金額以法院調解書為準)，具體內容如下：
1、雙方確認公司所欠貨款本金79,115,070.88元以及截至2021年07月15日的利息11,961,890.70元，貨款本金加利息共計91,076,961.58元。
2、雙方擬同意，公司按照本協議的約定向聚燦光電支付貨款本金79,115,070.88元以及利息6,564,619.94元，共計85,679,690.82元。
3、上述第2條中的85,679,690.82元，公司擬按照以下分期方式支付：(1)第一期：2021年06月20日前，公司以銀行電匯方式向聚燦光電支付5000萬元；(2)第二期：2021年07月15日前，公司以銀行電匯方式向聚燦光電支付35,679,690.82元。
4、如公司未能按照約定完全履行第一期還款義務的，公司自願額外支付違約金500萬元，且聚燦光電有權就未支付的貨款本金(79,115,070.88元，如公司屆時已部分支付則相應扣除)、利息(11,961,890.70元)、違約金(500萬元)、律師費(20萬元)、訴訟費(481,472.53元)、保全費(5000元)、保全擔保費(46033元)一併向法院申請強制執行，同時以未支付的貨款本金為基數，按每年利率6.525％計算遲延履行利息，自聚燦光電申請強制執行之日起計算至全部款項實際結清之日。
5、如公司未能按照約定完全履行第二期還款義務的，公司自願額外支付違約金500萬元，且聚燦光電有權就未支付的剩餘貨款本金(29,115,070.88元，如公司屆時已部分支付則相應扣除)、利息(11,961,890.7元)、違約金(500萬元)、律師費(20萬元)、訴訟費(481,472.53元)、保全費(5000元)、保全擔保費(46033元)一併向法院申請強制執行，同時以未支付的剩餘貨款本金為基數，按年利率6.525％計算遲延履行利息，自聚燦光電申請強制執行之日起計算至全部款項實際結清之日。
6、公司將承擔聚燦光電因本案起訴支出的合理訴訟開支，包括律師費、保全費、保全擔保費、訴訟費(具體金額以法院調解書為準)，與第二期款項一並支付。
