宏達新材(002211.SZ)：公司控股股東及實控人擬發生變更
格隆匯5月31日丨宏達新材(002211.SZ)公佈，公司於2021年5月31日接到控股股東上海鴻孜企業發展有限公司(“上海鴻孜”或“鴻孜發展”)通知，其與杭州科立企業管理合夥企業(有限合夥)(“杭州科立”)於2021年5月31日簽訂了《股份轉讓協議》。該事項將涉及公司控股股東及實際控制人擬發生變更等事宜。
截至公吿日，上海鴻孜持有公司12210萬股股份，佔公司總股本的28.23%，楊鑫為公司的實際控制人。上海鴻孜本次股份轉讓不存在中國證監會《上市公司大股東、董監高減持股份的若干規定》規定的不得減持的情形，不存在違反其作出的相關承諾的情形，不存在規避股份限售相關規定的情形。截至目前，上海鴻孜已與杭州科立簽訂《股份轉讓協議》，杭州科立擬通過協議轉讓的方式，受讓上海鴻孜所持有的12210萬股公司股份，轉讓價格為6.96元/股。此次轉讓的標的股份中尚有8766萬股存在司法凍結，交易雙方已對該凍結部分的股份交割事宜在協議中做出了相關約定。
上海鴻孜與杭州科立曾於2021年5月13日簽訂的《股份轉讓框架協議》，約定杭州科立擬通過協議轉讓的方式受讓上海鴻孜所持有的12210萬股公司股份，股份轉讓價格為5.32元/股。而此次交易雙方簽訂的《股份轉讓協議》對應的標的股份轉讓價格發生了變化，其主要原因系《股份轉讓框架協議》簽訂後資本市場環境出現了一定變化，交易雙方基於進一步友好協商予以調整確定了最終的股份轉讓價格。此次轉讓的標的股份交割後，杭州科立將持有宏達新材122,100,000股股份(占上市公司股本總額的28.23%)，上市公司的控股股東將變更為杭州科立，上市公司的實際控制人將變更為章訓。
截至公吿日，杭州科立暫無針對上市公司或其子公司已有資產、負債和業務進行出售、合併、與他人合資或合作的計劃，或上市公司擬購買或置換資產的重組計劃。但是，從增強上市公司的持續發展能力和盈利能力，改善上市公司資產質量的角度出發，如果在未來十二個月內籌劃對上市公司或其子公司的資產、負債和業務進行出售、合併、與他人合資或合作，或上市公司擬購買或置換資產，屆時，杭州科立將嚴格按照有關法律、法規相關規定的要求，依法履行相關批准程序和信息披露義務。
