贛鋒鋰業(002460.SZ)：擬以1500萬美元投資SRN上市公司層面可交債
格隆匯5月28日丨贛鋒鋰業(002460.SZ)公佈，公司於2021年5月28日召開的第五屆董事會第二十六次會議審議通過了《關於全資子公司贛鋒國際投資新加坡SRN公司可交債涉及礦業權投資的議案》，同意公司全資子公司贛鋒國際有限公司(“贛鋒國際”)以自有資金1500萬美元投資新加坡上市公司Silkroad Nickel Ltd., (“SRN”)上市公司層面的可交債，利息為7%，期限3年。
該可交債以SRN持有紅土鎳資產的全資子公司FE ResourcesPte. Ltd (“FE公司”)100%股權作為擔保。於投資生效6個月後，公司有權將持有的可交債權益100%轉換為FE公司25%的股權。轉股同時，公司有權以額外1500萬美元對價，增持FE公司股權至50%。如行使權利，贛鋒國際將以累計3000萬美元的對價，獲得FE公司50%的股權。授權公司經營層辦理相關手續並簽署相關法律文件。
於可交債轉股時，公司可酌情選擇與FE公司簽署一份10年期的包銷協議，公司有權包銷每年100萬噸的鎳原礦；公司還有權選擇獲得額外50萬噸包銷權，並選擇延長協議期限至15年。公司需按照市場價格支付採購的原礦。
Silkroad Nickel Ltd.,主營業務為鎳礦石的勘探、開採、生產及銷售。其全資子公司FE公司持有位於印度尼西亞的全資子公司PT Teknik Alum Services (“TAS”)紅土鎳項目100%的資產。
TAS紅土鎳項目位於印度尼西亞，根據SMG Consultants出具的針對該項目的盡調報吿，紅土鎳項目的紅土鎳礦資源量約1.466億濕公噸，其中約5,680萬濕公噸被定義為指示資源，約8,970萬濕公噸被定義為推斷資源。在總資源中，約4,450萬濕公噸被定義為可能的礦石儲量。
此次投資SRN可交債有利於公司業務拓展，增強核心競爭力，符合公司上下游一體化和新能源汽車產業發展戰略。
