中泛控股(00715.HK)：附屬公司本金額約1.6億美元票據發生觸發事件
格隆匯5月28日丨中泛控股(00715.HK)發佈公吿，2021年5月24日，泛海控股國際發展第三有限公司(“第三公司”)(為公司間接控股股東中泛集團的全資附屬公司)宣佈(其中包括)，於2021年5月24日，就其發行的2.8億美元2021年到期14.5%擔保優先票據(“第三公司票據”)，第三公司已經通過發行1.46億美元2024年到期的私人配售票據而回購第三公司票據中總本金金額為1.46億美元的部分。上述已回購的第三公司票據將會被註銷，其後第三公司未償付剩餘票據本金金額為1.34億美元(“第三公司剩餘票據”)。
由於受宏觀經濟環境、房地產及金融行業的政策調控及新冠肺炎疫情疊加影響，第三公司票據的擔保方及中泛集團的控股公司泛海控股股份有限公司(“擔保方”)面臨暫時性的現金流問題。
第三公司剩餘票據的本金金額及應計但尚未支付利息的償付安排如下：擔保方正在全力籌措資金進行償付，且已確定主要資金來源，包括擔保方擬從加快房地產項目銷售、優化境內及境外資產組合以及其控股股東中國泛海控股集團有限公司擬通過處置若干境外資產而提供的財務支援而獲得資金來源。第三公司計劃於2021年8月23日之前全額償付第三公司剩餘票據的本金金額及應計但尚未支付的利息。
由於上述償付安排及調整，公司一家全資附屬公司發行的一筆總未償付本金金額約1.6億美元的票據(“附屬公司票據”)發生觸發事件。由於該觸發事件，附屬公司票據的大多數持有人可要求立即償還未償付附屬公司票據餘額、應計利息及所有其他應計或未償付款項。集團一直與按照附屬公司票據大多數持有人指令行事的附屬公司票據代理人積極溝通及磋商，以就有關觸發事件獲得豁免。
截至公吿日期，集團並未獲得票據代理人的任何豁免，亦未有收到票據代理人要求就任何附屬公司票據加快還款或採取任何其他強制執行行動的通知。
公司董事會及管理層將繼續(i)與票據代理人保持積極及持續溝通，從票據代理人獲取所需豁免；及(ii)評估有關情況對集團財務狀況及現金狀況的潛在影響。公司將繼續密切注意事態發展，並在公司知悉任何進一步發展時再作公吿。
