茂化實華(000637.SZ)：擬參與華融廣東分公司對開元氮肥等4户債權資產處置公開競價
格隆匯5月28日丨茂化實華(000637.SZ)公佈，2021年5月27日，公司第十一屆董事會第四次臨時會議以現場會議結合通訊表決方式召開，審議通過《關於擬參與中國華融資產管理股份有限公司廣東省分公司對茂名市開元氮肥有限公司等4户債權資產處置公開競價的議案》。同意公司擬以不超過2億元【含繳納競價保證金人民幣1780萬元(可衝抵轉讓款)、分期付款利息等】，參加上述債權資產處置公開競價活動。資金來源為公司自有資金或貸款融資。
董事會認為，“十四五”時期，是公司轉變發展形式，持續發展，全面提高石化產品的產量、品種以及產品科技含量和競爭實力的攻堅時期。加強項目發展，努力培育新主業，構築新的經濟增長點，是公司工作的重中之重。公司發展目前最稀缺的是項目資源和土地資源，而開元氮肥有較充足的土地資源以及煤制氣等配套生產裝置，開元氮肥擬投資建設合成氨生產線升級改造項目，項目產品具有較好的市場需求，產品在省內供不應求，能有效緩解相關產品的市場壓力，也符合國家和地方產業發展政策，預計將產生良好的經濟效益和社會效益。根據法院的生效判決，對開元氮肥上述6宗地、設備及14棟廠房，華融廣東分公司享有優先受償權；對威龍化工上述2宗地，華融廣東分公司享有優先受償權；對威龍商貿上述7宗地，華融廣東分公司在本金餘額2700萬元及利息、罰息等範圍內享有優先受償權；抵押設備在本金餘額1800萬元及利息、罰息等範圍內享有優先受償權。基於上述，公司擬競買開元氮肥等債權資產，如成功競得，公司後續計劃通過債轉股的方式控股開元氮肥、威龍化工、威龍商貿，合作建設茂名開元制氫及聯產項目，以擴大公司規模，為公司帶來新的利潤增長點。公司以自有資金進行競價，符合公司做大做強石化主業的戰略發展目標，拓寬延伸產業鏈條，增強公司的核心競爭力。該項交易會一定程度上佔用公司的流動資金，增加債務和財務費用。本次參與債權資產處置若競價成功，對未來債權處置取決於市場情況和公司處置運營能力，故本次參加債權資產處置競價對公司經營業績影響暫未能預計。
2021年5月20日，中國華融資產管理股份有限公司廣東省分公司(以下簡稱：華融廣東分公司)在《南方日報》發佈公吿稱：華融廣東分公司擁有對茂名市開元氮肥有限公司等4户債權資產，擬採取公開保留底價、公開競價的方式處置，主要內容如下：
投資者信譽好，能承擔購買債權所帶來的風險，交易資金來源合法。競價前，意向投資者須繳納競價保證金人民幣1780萬元。
根據華融廣東分公司公吿，擬處置的4户債權涉及的債權本金合計25664.55萬元。同時公吿備註明確：債務人和擔保人應支付的利息、罰息、復利、違約金及其它應付款按借款合同、擔保合同及中國人民銀行的有關規定或生效法律文書確定的方法計算。根據法院相關判決，債權本金的利息及罰息等合計共13596.14萬元，代墊/其他費用144.47萬元。
