贛鋒鋰業(002460.SZ)：Cauchari-Olaroz鋰鹽湖項目一期年化設計產能4萬噸電池級碳酸鋰項目目前進展順利
格隆匯5月28日丨贛鋒鋰業(002460.SZ)公佈，近日，公司收到全資子公司Ganfeng Lithium Netherlands Co., B.V.(“荷蘭贛鋒”)的控股子公司阿根廷Minera Exar S.A. (“Minera Exar”)的通知，並對其旗下Cauchari-Olaroz鋰鹽湖項目開發進展情況更新如下：
Cauchari-Olaroz鋰鹽湖項目一期年化設計產能4萬噸電池級碳酸鋰項目目前進展順利，計劃於2022年年中開始生產。近期，公司的調試與建設團隊已到達項目現場協助推進項目生產啟動工作。該項目已嚴格執行COVID-19防控措施，目前有超過1000名工作人員在項目現場工作，所有主要設備及物料已運輸到項目現場，且鹽湖蒸發池已有充足的滷水庫存可為項目產能爬坡提供保障。
同時，考慮到Cauchari-Olaroz鋰鹽湖項目豐富的鋰資源儲備，並基於對國內外高端鋰鹽產品市場需求增長前景的判斷，Minera Exar決定啟動對Cauchari-Olaroz鋰鹽湖項目二期擴產可行性的評估，並初步計劃二期擴產產能為不低於2萬噸碳酸鋰當量。二期項目建設計劃於2022年下半年，即項目一期產能4萬噸電池級碳酸鋰試車並投產後開始建設，於2025年開始生產。
上述項目擴建為Minera Exar的初步計劃，最終擴建計劃將於可行性評估完成後根據項目情況及時履行相關決策審批程序。
另外，根據荷蘭贛鋒、Lithium Americas Corp. (“美洲鋰業”)、Minera Exar以及一家由阿根廷胡胡伊省政府控制的礦業投資公司Jujuy Energia y Mineria Sociedad del Estado (“JEMSE”)籤訂的期權協議，近日，JEMSE已行使收購Minera Exar 8.5% B類股份相關期權，並將未來應分得的三分之一税後股息用來向荷蘭贛鋒和美洲鋰業支付行權的對價，該對價將用作Cauchari-Olaroz鋰鹽湖項目建設。
JEMSE期權行權後，將獲得Minera Exar 未來8.5%的分紅權，本期權協議的訂立是為了符合阿根廷胡胡伊省當地法規，期權協議項下的該等B類股份在Minera Exar股東委員會中無投票表決權，因此JEMSE並不參與Minera Exar的經營管理。在未經公司及美洲鋰業許可的情況下，JEMES不能轉讓或處置其收購8.5%權益的選擇權，但可在特定條件下選擇將其轉換為特許權使用費。交割完成後，荷蘭贛鋒仍擁有Minera Exar的多數管理委員會表決權，因此荷蘭贛鋒仍享有Minera Exar的控制權。
