中國數字視頻(08280.HK)：控股股東更改受託人
格隆匯5月28日丨中國數字視頻(08280.HK)宣佈，公司董事會已接獲Future Success信託(鄭福雙的家族為酌情受益人)的財產授予人及其中一名酌情受益人鄭福雙通知，(i)Future Success信託受託人更改已於2021年5月28日完成；及(ii)證券及期貨事務監察委員會企業融資部執行董事(“執行人員”)已於2021年5月6日授予香港公司收購、合併及股份回購守則規則26.1註釋6項下有關受託人更改的豁免。
於公吿日期，公司共有630,332,000股已發行股份，其中榮成控股有限公司持有214,278,278股股份(佔已發行股份總數約33.99%)。榮成全部已發行股本由ZFS Holdings Limited(“ZFS Holdings”)持有。ZFS Holdings為於英屬維爾京羣島註冊成立的公司，於受託人更改完成前由HSBC International Trustee Limited(“HSBC International”)全資擁有。HSBC International作為家族信託(“FutureSuccess信託”)的受託人行事，而Future Success信託為鄭福雙(作為財產授予人)所設立的全權信託，其酌情受益人包括鄭福雙、其配偶及子女。
由於HSBC International有意自2021年5月28日起退任Future Success信託的受託人，故Wickhams Cay Trust Company Limited(“Wickhams Cay”)獲委任取代HSBC International成為Future Success信託的新受託人，HSBC International已於同日將ZFS Holdings的全部已發行股本轉讓予Wickhams Cay。董事認為，受託人更改對Future Success信託的管理而言僅屬次要事件，對公司的控制權及管理不會有任何重大影響。
