捷昌驅動(603583.SH)擬7917.84萬歐元收購奧地利LOGICDATA公司100%股權並增資2000萬歐元
格隆匯5月27日丨捷昌驅動(603583.SH)宣佈，公司擬使用自籌資金7917.84萬歐元通過境外全資子公司J-Star收購Logic Endeavor Group GmbH(簡稱“標的公司”、“LEG”) 100%的股權，從而間接持有其旗下LOGICDATA Electronic & Software Entwicklungs GmbH(簡稱“LDAT”)、LDI Electronics Vertriebs GmbH、Logicdata Asia Limited、METMO s.r.o.、Logicdata North America Inc及珠海羅傑德機電有限公司100%的股權。該次收購完成後，為進一步增強標的公司資金實力，公司擬通過J-Star對標的公司增資2000萬歐元。
Logic Endeavor Group GmbH、LDI Electronics Vertriebs GmbH、Logicdata AsiaLimited均為控股平台公司，本身無業務。LDAT成立於1997年，是奧地利一家專業從事可調傢俱機電集成研發、銷售、生產的公司，目前在歐洲、美國(Logicdata North America Inc)、中國(珠海羅傑德機電有限公司)共有約270名員工，研發人員約佔總人數的三分之一。LDAT的產品開發能力在業內處於頂尖水平，其SLIMdrive推杆，COMPACT控制器等產品受到如Herman Miller、Steelcase等國際知名傢俱品牌的青睞。
LEG及其旗下子公司，一直致力於為可調傢俱市場提供領先的解決方案及產品，使傢俱能根據客户需求調節，適應人們日益增長的健康需求，在升降桌驅動系統領域有顯著的研發優勢，其主要產品是電動升降桌升降立柱總成(立柱內部的核心伸縮部件)及控制器，屬於行業內頂尖水平，並且有較高的專利壁壘。其主要客户為歐美高端家居品牌，其中有成品傢俱前二的大傢俱廠商Herman Miller、Steelcase等。
在收購完成後，標的公司將作為捷昌驅動在歐美高端傢俱市場中的代表，將更好的樹立捷昌驅動在歐美高端市場的品牌形象，結合捷昌驅動全球化的運營和高效的生產製造能力，有助於公司的行業地位和市場份額得到進一步提升。
此次收購，是公司走外延成長道路的重要戰略途經，一方面能使捷昌驅動在技術、品牌、渠道方面得到實質性提升，有助於公司擴大在歐洲的影響力，另一方面雙方公司可實現資源共享，在全球範圍內形成研發、生產、市場、品牌等方面的協同效應，實現共贏。
該次收購完成後，LEG將成為捷昌驅動的全資孫公司，納入公司合併報表範圍，將對公司未來發展產生積極影響，並進一步提高公司的全球行業地位。
