先施(00244.HK)接獲召開股東大會呈請
格隆匯5月26日丨先施(00244.HK)公吿，於2021年5月25日，公司接獲偉祿集團控股有限公司發出函件，當中要求公司董事會根據公司組織章程細則第52、82、84、85及101條以及香港法例第622章公司條例第566條召開公司股東大會，以考慮並酌情通過以下決議案：
"(1)動議就林曉輝於偉祿集團控股有限公司要求召開及舉行股東大會前並未獲委任為公司董事，或彼已獲委任為本公司董事並須根據章程細則於股東大會上退任而言(視情況而定)，委任林曉輝為本公司執行董事，自股東大會結束時生效。(2)動議就蘇嬌華於偉祿要求召開及舉行股東大會前並未獲委任為公司董事，或彼已獲委任為本公司董事並須根據章程細則於股東大會上退任而言(視情況而定)，委任蘇嬌華為本公司執行董事，自股東大會結束時生效。(3)動議就禹來於偉祿要求召開及舉行股東大會前並未獲委任為公司董事，或彼已獲委任為公司董事並須根據章程細則於股東大會上退任而言(視情況而定)，委任禹來為本公司執行董事，自股東大會結束時生效。(4)動議就陳曙鍵於偉祿要求召開及舉行股東大會前並未獲委任為本公司董事，或彼已獲委任為本公司董事並須根據章程細則於股東大會上退任而言(視情況而定)，委任陳曙鍵為本公司執行董事，自股東大會結束時生效；(5)動議就戴德豐於偉祿要求召開及舉行股東大會前並未獲委任為本公司董事，或彼已獲委任為本公司董事並須根據章程細則於股東大會上退任而言(視情況而定)，委任戴德豐為本公司非執行董事，自股東大會結束時生效。
(6)動議就餘亮暉於偉祿要求召開及舉行股東大會前並未獲委任為本公司董事，或彼已獲委任為本公司董事並須根據章程細則於股東大會上退任而言(視情況而定)，委任餘亮暉為本公司獨立非執行董事，自股東大會結束時生效；(7)動議就袁寶玉於偉祿要求召開及舉行股東大會前並未獲委任為本公司董事，或彼已獲委任為本公司董事並須根據章程細則於股東大會上退任而言(視情況而定)，委任袁寶玉為本公司獨立非執行董事，自股東大會結束時生效。
(8)動議就鍾振雄於偉祿要求召開及舉行股東大會前並未獲委任為本公司董事，或彼已獲委任為本公司董事並須根據章程細則於股東大會上退任而言(視情況而定)，委任鍾振雄為本公司獨立非執行董事，自股東大會結束時生效；(9)動議授權本公司董事會("董事會")釐定本公司董事薪酬；(10)動議罷免馬景煊為本公司執行董事、主席及行政總裁以及其他職務(如適用)，自以下時間中較遲者生效：(a)股東大會結束時，或(b)有關罷免獲公司收購、合併及股份回購守則("收購守則")准許最早時間(如適用)；(11)動議罷免陳文衞為本公司非執行董事，自以下時間中較遲者生效：(a)股東大會結束時，或(b)有關罷免獲收購守則准許最早時間(如適用)；(12)動議罷免馬景榮為本公司獨立非執行董事，自以下時間中較遲者生效：(a)股東大會結束時，或(b)有關罷免獲收購守則准許最早時間(如適用)；(13)動議罷免自2021年五月二十五日(為免生疑，包括當日)起直至緊接股東大會前可能獲委任為本公司執行董事╱非執行董事╱獨立非執行董事(視情況而定)任何其他人士(第(1)至(8)及(10)至(12)段提及人士除外)(如適用)，自以下時間中較遲者生效：(a)股東大會結束時，或(b)有關罷免獲收購守則准許最早時間(如適用)。"
