*ST雙環(000707.SZ)：擬完全剝離房地產業務 進一步聚焦化工主業
格隆匯5月25日丨*ST雙環(000707.SZ)公佈，公司擬將標的資產轉讓給應城宜化，應城宜化、宜化集團以承接上市公司金融債務方式支付對價，承接的金融債務同標的資產作價的差額由應城宜化以現金補足。此次擬出售標的資產具體包括：
1、上市公司持有的置業公司100%股權；
2、上市公司持有的蘭花沁裕46.80%股權；
3、上市公司及環益化工持有的合成氨生產裝置的主要設備和上市公司持有的鹽鹼氨肥鈣聯產裝置主要設備；
4、上市公司及環益化工享有的對置業公司及其子公司的債權。
經交易各方協商一致，最終確認此次交易標的資產的轉讓價格合計160057.44萬元。此次交易應城宜化、宜化集團擬以承接債務方式支付交易對價16億元，其餘由應城宜化以現金方式支付。
2021年5月6日，上述金融債務轉移事項已經宜化集團債委會表決通過，尚待相關債權人履行內部審批程序並最終實施債務轉移。如因相關債權人內部審批程序最終未能通過，或其他原因導致交易對方實際可承接負債金額小於16億元，則差額部分由交易對方以現金補足。
為保證審計、評估基準日後部分已到期的金融債務正常還款，應城宜化、宜化集團已向上市公司預付部分交易價款，其中1123.91萬元以現金方式支付。截至本報吿書籤署日，應城宜化及宜化集團以承接金融負債的方式支付對價金額預計不超過15.89億元。
通過此次交易，上市公司將嚮應城宜化出售置業公司100%股權、參股公司蘭花沁裕46.80%股權、上市公司及環益化工持有的合成氨生產裝置的主要設備和上市公司持有的鹽鹼氨肥鈣聯產裝置主要設備、上市公司及環益化工享有的對置業公司及其子公司的債權。
此次交易後，上市公司完全剝離房地產業務，進一步聚焦化工主業，主營業務仍為生產、銷售純鹼和氯化銨。
此次交易後，上市公司已完全剝離房地產業務。宜化集團全資子公司應城宜化將持有置業公司100%股權，因此，在房地產業務領域，上市公司與控股股東及其控制的其他企業不存在同業競爭。
此次交易後，上市公司子公司環益化工雖然營業範圍包含合成氨業務，但未正式投產。同時，由於宏宜化工合成氨產業升級改造項目的推進，環益化工實際不從事合成氨生產業務。上市公司的參股公司宏宜化工是紓困重組協議中約定的合成氨產業升級改造項目主體，目前已完成了可行性研究報吿和主管部門批覆，其他前期工作正在開展中。宜化集團全資子公司應城宜化將持有本次交易剝離的合成氨及鹽鹼氨肥鈣主要設備，主要從事合成氨生產、銷售業務，因此，上市公司與應城宜化不存在實質同業競爭。
