微盟集團(02013.HK)募資超46億港元 用於產品研發、戰略併購
5月25日，智慧商業服務提供商微盟集團(02013.HK)發佈公吿稱，集團配售1.56億股新股，籌資約23.4億港元；同時發行3億美元零票息可換股債券。上述兩項總計將募資超過46億港元，創港股saas再融資歷史記錄。本輪融資將用於提升微盟集團的綜合研發實力、升級營銷運營體系、為潛在戰略投資及併購補充資金、補充營運資金及一般公司用途等。
根據公吿，微盟集團以配售方式增發共計1.56億股，相當於已擴大後股本6.4%，每股配售價15港元，籌資最多約23.4億港元。在啟動配售計劃的同時，微盟集團發行總計3億美元的零票息可換債券，每股換股價為21港元，溢價40%，最多兑換110,914,285股新股，佔現有已發行股本的約4.9%，將於2026年到期。
據消息人士透露，此次微盟配售吸引了戰略投資者及眾多知名產業及長線機構投資人的踴躍參與，配售認購高達8倍以上，可轉債認購數近5倍，反映了市場對微盟集團基本面的看好和公司未來發展的長遠信心。
微盟集團表示，鑑於當前中國企業的數字化轉型正高速發展，公司計劃不斷改進和深化SaaS技術和產品，從而保持市場領先地位，同時全面優化和完善營銷和運營體系，併為未來適時進行併購作準備，此次配售也將擴大公司股東及資本基礎、優化股東結構，同時有助於為微盟集團的長期業務發展及擴展計劃補充資金。
微盟集團成立於2013年，於2019年初在香港主板上市，主要業務為數字商業和數字媒介，為企業數字化升級提供SaaS及精準營銷等服務。今年一季度，微盟集團經營質量穩步提升，數字商業業務快速增長，其中訂閲解決方案收入同比增長超100%，付費商户數較2020年同期增長約21.9%；商家解決方案收入同比增長超50%，反映出微盟集團作為國內新經濟SaaS領軍者的過硬實力。眾多一線大行紛紛看好微盟未來發展，中信建投研報表示，持續看好微盟在以微信為主的私域流量平台的競爭優勢、大客化以及TSO全鏈路營銷策略。
分析人士表示，此次配售及可轉債發行，微盟集團將獲得更多充足的資金進行產品研發、投資併購等，將進一步提升微盟集團的整體實力和市場競爭力，微盟集團將進一步推進大客化、生態化和國際化三大核心戰略的全面實施及TSO全鏈路營銷應用場景的落地，在新經濟SaaS領域的領先優勢有望進一步擴大。
