高科石化(002778.SZ)：股東長橋集團違規減持並致歉
格隆匯5月23日丨高科石化(002778.SZ)公佈，公司於2021年5月20日收到股東蘇州市長橋集團有限公司("長橋集團")出具的情況説明。因對減持計劃的理解存在偏差，2021年5月19日長橋集團提前減持其持有的公司股份40萬股。
2021年5月7日公司發佈了《關於持股5%以上股東擬減持部分公司股份計劃預披露公吿》，公吿號2021-026。公吿中披露的長橋集團計劃減持期間為：公吿之日起三個工作日後的6個月內通過集中競價交易或其他合法方式減持本公司股份合計不超過89.1095萬股(即不超過公司總股本的1%)。其中，通過集中競價方式減持的，將於本減持計劃公吿之日起十五個交易日後進行，即從2021年5月31日起至2021年11月29日止，且任意連續九十個自然日內通過證券交易所集中競價交易減持股份的總數不超過公司總股本的1%。
長橋集團所持有的股份為通過協議轉讓方式受讓的流通股份。長橋集團相關工作人員由於經驗不足,對減持計劃的理解存在偏差,誤認為公吿以後三個工作日即可減持，於2021年5月19日減持其持有的公司股份40萬股，佔公司總股本的0.4489%。
長橋集團於2021年5月19日減持股份，先於減持計劃中時段，違反了《深證證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》中"大股東、董監高擬在未來6個月內通過集中競價交易減持股份的，需提前15個交易日報吿並公吿其減持計劃"的規定，形成了違規減持。
此次違規減持行為發生後,公司已督促長橋集團相關人員重新鞏固學習《上市公司股東、董監高減持股份的若干規定》、《深證證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》等相關法律法規和規範性文件，嚴格履行承諾事項，杜絕此類事件再次發生。長橋集團承諾自願鎖定原減持計劃中的剩餘股份，自2021年5月20日起的三個月內，即2021年5月20日至2021年8月20日，暫停減持原減持計劃中剩餘的部分，即不超過491095股(佔公司總股本的0.5511%)。
長橋集團對此次提前減持公司股份的行為進行了深刻反省，並就本次行為給公司及廣大投資者造成的負面影響表示誠摯和深切的歉意！長橋集團承諾會加強對相關法律法規、規範性文件的學習，加強管理，加強事先和公司及監管部門的溝通，信守承諾，堅決杜絕此類情況再次發生。
