南岸集團(00577.HK)：將繼續盡最大努力嘗試與Wise Park進行談判 24日復牌
格隆匯5月21日丨南岸集團(00577.HK)公佈，於2021年5月13日，Wise Park Business Limited("Wise Park")的法律代表透過致函The 13 Hotel(BVI) Limited及公司的法律代表，發出有關終止永久重續過渡貸款的終止通知書，並要求於2021年5月14日中午前獲償還592,915,593.78港元("逾期款項")(即519,178,082.07港元違約款項加自2020年12月2日起累積的違約利息73,737,511.71港元)，否則，Wise Park可能行使其在股份押記下的所有權利及權力(包括出售的權力)，及╱或對The 13 Hotel(BVI) Limited及公司展開法律程序以收回債務，而不另行發出通知。
於2021年5月18日，Wise Park的法律代表透過致函The 13 Hotel (BVI)Limited及公司的法律代表而發出通知，表明Wise Park已經行使其就The 13(BVI) Limited全部股本而訂立的股份押記下的權利，以150,000,000港元向第三方出售The 13 (BVI) Limited的押記股份，並將把出售所得的款項用作清償逾期款項，以及進一步要求The 13 Hotel (BVI) Limited及公司"在未來5天內"支付扣除上述出售所得款項後的逾期款項淨餘額(加進一步累計利息)，否則，WisePark"將對他們展開法律程序而不另行發出通知"。
公司已徵詢法律意見，意見認為由於Wise Park宣稱行使其就The 13 (BVI)Limited全部股本而訂立的股份押記下的權利，故保華建業集團有限公司極可能將不再為公司的附屬公司，保華建業集團有限公司的業績亦極可能不會於集團的綜合財務報表中拼合入賬。於公佈日期，公司並無收到任何針對公司的清盤呈請，而公司將繼續盡最大努力嘗試與Wise Park進行談判。
公司將向香港聯合交易所有限公司申請恢復公司股份的買賣，預期股份將自2021年5月24日上午九時正起恢復買賣。
